順豐控股(002352.SZ)：順豐房託自5月17日起在聯交所主板上市
格隆匯5月18日丨順豐控股(002352.SZ)公佈，順豐房託基金自2021年5月17日起在香港聯交所主板上市，證券代碼為“2191.HK”，證券簡稱為“順豐房託”。
在本次房託上市前，順豐房託基金通過其全資子公司SF Logistics Holdings Limited/順豐物流控股有限公司受讓公司全資子公司金紫荊物流控股有限公司100%股權和特定應付款項的債權。此次權益轉讓涉及的總對價約30.47億港元(等額約25.23億元人民幣)。其中約16.53億港元(等額約13.68億元人民幣)以現金支付，餘下的對價則由順豐房託基金向公司全資子公司SF Fengtai Industrial Park Holdings Limited/順豐豐泰產業園控股有限公司(“順豐豐泰”)以每基金單位4.98港元發行2.8億個基金單位支付。
除此次權益轉讓外，順豐房託基金經全球發售發行5.2億個基金單位，發售價為每基金單位4.98港元，募集款項約25.90億港元(等額約21.44億元人民幣)。全球發售完成後，順豐房託基金共計發行8億個基金單位。
另外，順豐豐泰向國際承銷商授予超額配售權，由國際承銷商於國際包銷協議日(即2021年5月11日)起至2021年6月9日期間任何時間行使，國際承銷商可要求順豐豐泰按市價出售最多2600萬個基金單位，以補足基金單位的超額配發。全球發售完成後，假設超額配售權未被行使，公司通過順豐豐泰間接持有順豐房託基金2.8億個基金單位，佔順豐房託基金單位總數約35%；若超額配售權被全部行使，公司通過順豐豐泰間接持有順豐房託基金2.54億個基金單位，佔順豐房託基金單位總數約31.75%。
此次權益轉讓完成後公司預計實現税前一次性股權投資收益約10.3億港元(等額約8.5億元人民幣)。以上匯率均按2021年5月17日中國人民銀行公佈的港幣兑人民幣中間價計。
