盛新鋰能(002240.SZ)：與關聯方資金往來信披不準確、不及時等等 收到深圳證監局警示函
格隆匯5月17日丨盛新鋰能(002240.SZ)公佈，公司於2021年5月17日收到中國證券監督管理委員會深圳監管局(“深圳證監局”)《關於對深圳盛新鋰能集團股份有限公司、王天廣、周禕、王琪、鄧偉軍採取出具警示函措施的決定》([2021]54號)，《警示函》的主要內容：
“深圳盛新鋰能集團股份有限公司、王天廣、周禕、王琪、鄧偉軍：
經查，你公司存在以下問題：
(一)與關聯方資金往來信息披露不準確、不及時，部分關聯交易未履行決策程序
你公司2017年年度報吿披露的與關聯方台山市威利邦木業有限公司的資金往來金額與實際發生金額存在較大差異。2018年至2019年，你公司與關聯方台山市宜和木業貿易有限公司、台山市福永木業貿易有限公司發生多筆資金往來，但你公司未及時履行關聯交易決策程序和信息披露義務，直至2020年4月30日才在2019年年度報吿中予以披露。
(二)定期報吿信息披露不準確
你公司2009年至2012年年度報吿中存貨、其他流動資產、管理費用等科目存在會計差錯，2018年年度報吿中存貨、營業收入、資產減值等科目存在會計差錯，導致2009年、2010年、2011年、2012年和2018年年度報吿存在虛增淨利潤的情形。直至2020年4月30日，你公司才通過披露《2019年年度報吿》《關於前期會計差錯更正的公吿》對上述會計差錯事項進行更正。你公司2009年、2010年、2011年、2012年和2018年等多年年度報吿披露的財務信息不準確。
你公司上述行為違反了《上市公司信息披露管理辦法》（證監會令第40號，下同）第二條、第四十八條的規定。時任董事長王天廣、時任總經理周禕、時任及現任財務總監王琪、時任董事會祕書及副總經理鄧偉軍，未按照《上市公司信息披露管理辦法》第三條的規定履行勤勉盡責義務，違反了《上市公司信息披露管理辦法》第五十八條的規定，對上述問題負有主要責任。根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你公司及王天廣、周禕、王琪、鄧偉軍採取出具警示函的行政監管措施。你公司應高度重視整改工作，進一步強化關聯交易的內部控制，加強財務會計基礎工作，切實提高公司規範運作水平，並於收到本決定書之日起30日內向我局報送整改報吿。
如對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司及相關人員收到上述警示函後，高度重視警示函中指出的問題，公司及相關人員將充分吸取教訓，切實加強對《上市公司信息披露管理辦法》等法律法規及規範性文件的學習，強化關聯交易的內部控制，加強財務會計基礎工作，切實提高公司規範運作水平及信息披露質量，杜絕此類事件的再次發生，並將按照上述《警示函》要求在規定時間內向深圳證監局報送整改報吿。
