達安基因(002030.SZ)：授權管理層處置Yunkang Group Limited部分股權
格隆匯5月17日丨達安基因(002030.SZ)公佈，公司於2021年5月11日召開了第七屆董事會2021年第五次臨時會議，審議通過了《關於授權公司管理層處置參股孫公司Yunkang Group Limited部分股權的預案》。
公司全資子公司達安國際集團有限公司持有Yunkang Group Limited (“雲康開曼”)46.96%的股權。公司於2021年3月1日披露了《關於參股孫公司Yunkang Group Limited向香港聯交所遞交上市申請並刊發申請資料的公吿》(公吿編號：2021-021)。雲康開曼已於2021年2月26日向香港聯合交易所有限公司(“香港聯交所”)遞交了公開發行股票並申請在香港聯交所主板掛牌上市的申請，尚需取得香港證券及期貨事務監察委員會、香港聯交所等相關政府機構、監管機構批准或核准，該事項仍存在不確定性。
為進一步提高公司資產流動性並滿足公司經營資金需要，公司全資子公司達安國際集團有限公司擬根據香港聯合交易所有限公司證券上市規則的相關規定將持有雲康開曼不超過5%的存量股份進行釋放：達安國際集團有限公司擬通過證券交易系統處置持有的雲康開曼股票，交易價格根據最終發售價格釐定。具體處置方式，提請股東大會授權公司管理層根據公司發展戰略、市場環境、證券價格走勢確定具體的交易時機、交易數量、交易價格、交易方式，處置期間應遵守法律、法規關於減持上市公司股票的時間、數量、信息披露等規定，授權期限自股東大會審議通過至上述授權事項處理完畢之日止。
此次授權公司管理層擇機處置雲康開曼股份，有利於提高公司資產流動性及使用效率，優化公司資產結構，保障公司利益，符合公司的發展戰略。由於證券市場股價波動性較大，收益存在較大的不確定性，目前尚無法確切估計本項交易最終對公司業績的具體影響，最終數據將以公司年度審計註冊會計師審計結果為準。
