中國醫療網絡(00383.HK)及若干董事違反內幕消息披露規定遭罰
格隆匯5月13日丨中國醫療網絡(00383.HK)更新有關證券及期貨事務監察委員會(“證監會”)於香港市場失當行為審裁處(“審裁處”)就以下各方提出的研訊程序：
(a)該公司；(b)莊舜而(執行董事及副主席)；(c)王炳忠(非執行董事)；(d)江木賢(執行董事)；(e)張健(獨立非執行董事)；(f)劉紹基(前獨立非執行董事)；及(g)馬華潤(前獨立非執行董事)(各自稱為“被指名人士”，統稱為“該等被指名人士”)。
證監會及所有該等被指名人士已就事實、責任及制裁達成一致。因此，審裁處裁定該等被指名人士已違反香港法例第571章證券及期貨條例第307A、307B及307G條(視情況而定)項下有關內幕消息的披露規定，併發出如下命令：
(a)針對該公司：規管性罰款80萬港元；
(b)針對莊舜而：(i)規管性罰款80萬港元；(ii)責令須接受經證監會核准的有關遵守證券及期貨條例第XIVA部、董事職責及企業管治的培訓課程；
(c)針對王炳忠：(i)規管性罰款90萬港元；(ii)責令彼於8個月期間內，未經原訟法庭許可，不得(1)擔任或繼續擔任上市法團的董事、清盤人或上市法團的財產或業務的接管人或經理人；或(2)以任何方式(無論直接或間接)關涉或參與上市法團的管理；(iii)責令須接受經證監會核准的有關遵守證券及期貨條例第XIVA部、董事職責及企業管治的培訓課程；
(d)針對江木賢：(i)規管性罰款80萬港元；(ii)責令彼於6個月期間內，未經原訟法庭許可，不得(1)擔任或繼續擔任上市法團的董事、清盤人或上市法團的財產或業務的接管人或經理人；或(2)以任何方式(無論直接或間接)關涉或參與上市法團的管理；(iii)責令須接受經證監會核准的有關遵守證券及期貨條例第XIVA部、董事職責及企業管治的培訓課程；
(e)針對劉紹基、馬華潤及張健各自：(i)規管性罰款30萬港元；(ii)責令須接受經證監會核准的有關遵守證券及期貨條例第XIVA部、董事職責及企業管治的培訓課程；及
(f)針對各被指明人士：(i)責令彼按共同及各別基準負責承擔證監會及政府的訴費及開支。
因此，自2021年5月13日起，(i)江木賢不再擔任該公司執行董事、執行委員會、投資委員會及薪酬委員會的成員，以及將不再擔任上市規則第3.05條及香港法例第622章公司條例項下該公司的授權代表；(ii)王炳忠不再擔任該公司非執行董事、提名委員會及薪酬委員會的成員；及(iii)董事會已委任該公司的公司祕書馮靖文為上市規則及公司條例項下公司的授權代表。
