嘉士利集團(01285.HK)擬1.35億元收購廣東康力食品全部股權
格隆匯5月10日丨嘉士利集團(01285.HK)宣佈，於2021年5月10日，買方嘉士利（香港）有限公司（公司的間接全資附屬公司）、賣方康力（香港）食品投資有限公司與目標公司廣東康力食品有限公司訂立股權轉讓協議，據此，買方有條件同意收購而賣方有條件同意出售目標公司的全部股權，代價為現金人民幣1.35億元。
目標公司為於1998年9月24日在中國成立的有限責任公司，註冊資本為人民幣5200萬元。該公司主要從事麪食產品製造及銷售。作為企業重組的一項內容，中晨會將兩塊土地注入目標公司，土地注入將於完成前落實。該等土地分別位於中國廣東省開平市水口鎮龍美工業路43號之2及45號，總地盤面積約為30,970平方米，總建築面積約為26,490平方米，作工業用途。
此外，於本公吿日期，目標公司亦持有位於中國廣東省開平市三埠區武溪西路32號、39號及53號的三處地塊，總地盤面積約為3,949平方米，作工業用途。根據相關國有土地使用權證，土地使用權已授予目標公司，分別直至2081年、2061年及2061年為止。現時該等土地上已興建幾棟用作車間、倉庫及辦公室的樓宇。目標公司亦擁有位於中國廣東省開平市三埠區武溪西路49號之一第一層的工業單位。根據授予目標公司的房地權證，該工業單位的總建築面積約為306平方米。
公司表示，麪食富含碳水化合物，並且礦物質含量高，包括鈣、鎂及B族維生素等各種礦物質。目標公司為一間於中國生產麪食的老牌龍頭企業，其產品豐富多樣，質量廣受認可。董事會認為，收購事項將令集團繼續享有業務合作所帶來的上述利益。此外，隨着集團獲得目標公司股權及董事會層面的完全控制權，繼而擴大對面食產品供應的經營控制，該等利益預計將得以增加。收購事項亦可使集團充分享有目標公司的未來增長和業績。
且該等土地位於集團於開平的生產設施附近，於該等土地上興建的廠房及寫字樓已妥善維護，可投入使用，集團將能利用該等土地於日後靈活高效地擴大其生產設施。集團計劃合併自身及目標公司的原材料需求，並在未來進行大宗採購。預期的集中採購和大宗採購將提高採購和管理效率，降低採購成本，並進一步提升公司業績。
