奧馬電器(002668.SZ)：公司控股股東變更為TCL家電集團
格隆匯 5 月 10日丨奧馬電器(002668.SZ)公佈，TCL家電集團有限公司(“TCL家電集團”)近日取得國家市場監督管理總局下發的《經營者集中反壟斷審查不實施進一步審查決定書》，結合公司股權結構、公司第五屆董事會成員提名及構成、公司高級管理人員選聘以及TCL家電集團關於取得公司控制權意願等情況因素，公司控股股東變更為TCL家電集團，TCL實業控股股份有限公司(“TCL實業”)持有TCL家電集團100%股權，公司實際控制人變更為李東生。
截至公吿日，TCL家電集團及其一致行動人重慶中新融澤投資中心(有限合夥)(“中新融澤”)合計持有公司262,205,713股股份，佔公司總股本的24.19%；公司第二大股東趙國棟及其一致行動人西藏融通眾金投資有限公司(“西藏融通”)合計持有公司119,571,925股股份，佔公司總股本的11.03%(截至公吿日，趙國棟及其一致行動人西藏融通所持公司股份已全部被司法凍結及輪候凍結)；除前述外，公司不存在其他持股5%以上的股東。
根據公司2021年第三次臨時股東大會決議及相關董事會決議，公司未來將聚焦冰箱主業發展，儘快完成金融科技業務板塊相關資產業務的剝離工作，授權董事會成立金融科技業務板塊終止經營及資產處置工作小組儘快組織制定並推進交易方案、落實相關具體工作。
截止公吿日公司相關債權債務履約正常，公司將繼續按照相關合同、協議的約定履行各項義務；TCL家電集團在《吿知函》中表示，未來將根據公司經營發展及債權債務履約需要，就發展中亟需的資金予以必要支持。
公司冰箱主營業務發展良好，冰箱業務相關的資金、信用、客户、供應商體系完整、獨立，不受金融科技業務板塊的影響；TCL家電集團在《吿知函》中表示，未來TCL家電集團將根據公司經營發展戰略提供賦能支持，確保公司核心業務繼續良性獨立發展。
公司新一屆董事會高度讚賞子公司奧馬冰箱的業績表現，高度認同並持續保持奧馬冰箱獨特的業務模式和行業地位。公司將繼續履行與奧馬冰箱其他股東簽訂的合同的相關約定，公司董事會將繼續支持冰箱業務管理團隊，以及冰箱業務的獨立發展與穩健運營，確保冰箱業務經營戰略的穩定性與可持續性。
