嘉士利集团(01285.HK)拟1.35亿元收购广东康力食品全部股权
格隆汇5月10日丨嘉士利集团(01285.HK)宣布，于2021年5月10日，买方嘉士利（香港）有限公司（公司的间接全资附属公司）、卖方康力（香港）食品投资有限公司与目标公司广东康力食品有限公司订立股权转让协议，据此，买方有条件同意收购而卖方有条件同意出售目标公司的全部股权，代价为现金人民币1.35亿元。
目标公司为于1998年9月24日在中国成立的有限责任公司，注册资本为人民币5200万元。该公司主要从事面食产品制造及销售。作为企业重组的一项内容，中晨会将两块土地注入目标公司，土地注入将于完成前落实。该等土地分别位于中国广东省开平市水口镇龙美工业路43号之2及45号，总地盘面积约为30,970平方米，总建筑面积约为26,490平方米，作工业用途。
此外，于本公告日期，目标公司亦持有位于中国广东省开平市三埠区武溪西路32号、39号及53号的三处地块，总地盘面积约为3,949平方米，作工业用途。根据相关国有土地使用权证，土地使用权已授予目标公司，分别直至2081年、2061年及2061年为止。现时该等土地上已兴建几栋用作车间、仓库及办公室的楼宇。目标公司亦拥有位于中国广东省开平市三埠区武溪西路49号之一第一层的工业单位。根据授予目标公司的房地权证，该工业单位的总建筑面积约为306平方米。
公司表示，面食富含碳水化合物，并且矿物质含量高，包括钙、镁及B族维生素等各种矿物质。目标公司为一间于中国生产面食的老牌龙头企业，其产品丰富多样，质量广受认可。董事会认为，收购事项将令集团继续享有业务合作所带来的上述利益。此外，随着集团获得目标公司股权及董事会层面的完全控制权，继而扩大对面食产品供应的经营控制，该等利益预计将得以增加。收购事项亦可使集团充分享有目标公司的未来增长和业绩。
且该等土地位于集团于开平的生产设施附近，于该等土地上兴建的厂房及写字楼已妥善维护，可投入使用，集团将能利用该等土地于日后灵活高效地扩大其生产设施。集团计划合并自身及目标公司的原材料需求，并在未来进行大宗采购。预期的集中采购和大宗采购将提高采购和管理效率，降低采购成本，并进一步提升公司业绩。
