海信家電(000921.SZ)：三電控股ADR債權人大會通過了其事業再生計劃
格隆匯 5 月 9日丨海信家電(000921.SZ)披露關於認購三電控股株式會社定向增發股份的進展，2021年5月7日，三電控股召開ADR債權人大會，經全體ADR債權人一致同意通過了三電控股的事業再生計劃，其中包括經全體ADR債權人一致同意免除三電控股ADR債務630億日元。三電控股ADR債務情況以及本次交易完成後公司對三電控股提供連帶責任擔保情況具體如下：
1、三電控股ADR債務情況以及獲批免除的ADR債務金額
截至2020年12月31日以及涉及外幣計價的債務金額按當日日元匯率換算，三電控股ADR債務總額約983億日元(摺合約59.7億元人民幣，佔三電控股未償還借款總額約98%)，ADR債權人涉及20家金融機構，ADR債務類型主要為銀行貸款。
根據事業再生ADR程序規定的資產評估標準，以三電控股截止2020年9月30日根據日本會計準則編制的合併資產負債表為基準對資產負債進行調整，調整內容主要包括三電控股的固定資產減值損失、重組(具體詳見公吿“三電控股改革措施”)預計成本以及不動產、存貨等資產減值。經過上述特定調整後，三電控股的合併淨資產由約110億日元(根據日本會計準則核算)調整為約-631億日元(根據事業再生ADR程序規定的資產評估標準核算)。據此，經全體ADR債權人一致同意，三電控股獲批免除的ADR債務金額為630億日元，免除比例約為ADR債務總額的64%。
2、剩餘ADR債務的償還計劃以及公司對三電控股提供的連帶責任擔保
剩餘ADR債務金額約353億日元(相當於ADR債務總額約為983億日元減去獲批免除的ADR債務金額630億日元，在計算剩餘ADR債務金額時，將考慮外幣與日元的換算匯率對剩餘ADR債務金額的影響)。根據雙方簽署的《股份購買協議》，公司應在交割日當日或之前，(1)提供連帶責任擔保，該擔保應(A)ADR債權人為全部剩餘ADR債務的受益人；(B)受日本法律管轄；(C)自交割起生效，或者(2)基於公司、三電控股和ADR債權人的真誠討論，就有關連帶責任擔保實施令ADR債權人滿意的其他可能替代方案。
根據協議雙方最終確認，作為公司為剩餘ADR債務提供連帶責任擔保的替代方案，所有剩餘的ADR債務(在免除債務後生效)應在交割後儘快支付，但不得遲於交割日後三個月。於本次交易完成後，公司將無需就三電控股所有剩餘的ADR債務(在免除債務後生效)提供連帶責任擔保，但將就因上述支付產生的新貸款向三電控股、日本SPV公司或公司全資子公司科龍發展有限公司(直接持有日本SPV公司100%股權)提供新的連帶責任擔保，新的連帶責任擔保金額不超過剩餘ADR債務金額。
三電控股所得款項的用途：三電控股將發行股份所得的全部資金，按照事業再生計劃對其業務和運營進行重組。
三電控股改革措施：以優化生產結構為理念，在全球和地區範圍內加速重組。對於成熟的汽車壓縮機產品，將鞏固生產基地；對於電動汽車產品，將建立優化的生產體系。此外，通過聯合採購降低成本，以大客户為中心擴大銷售，加強應收賬款管理，降低庫存等措施加強經營管理與控制。
