中國聯通(00762.HK)：紐交所維持公司美國存託證券下市決定
格隆匯 5 月 7日丨中國聯通(00762.HK)公佈，有關紐約證交所宣佈紐約證交所監管部門決定重新啟動公司美國存託證券(紐約證交所股票代碼：CHU)("美國存託證券")下市程序("該決定")；及有關公司向紐約證交所提出書面要求，要求紐約證交所董事會的一個委員會覆議該決定。
為了保護公司及其股東的權益，於2021年1月20日(美國東部標準時間)，公司向紐約證交所提出書面要求，要求該委員會覆議該決定。於2021年5月6日(美國東部標準時間)，該委員會維持了該決定。根據紐約證交所上市公司手冊第804.00條，公司預計紐約證交所將向美國證券交易委員會("美國證交會")提交25表格以撤銷公司美國存託證券的上市及註冊，並將向公司提供該25表格的一份副本。根據紐約證交所上市公司手冊第804.00條，於向美國證交會提交25表格之前，紐約證交所將通過發佈新聞稿及於官方網站發佈通知的方式公吿其撤銷公司美國存託證券之上市之最終決定。紐約證交所官方網站的該通知將保留至下市生效。根據《美國1934年證券交易法》(經修正)項下第12d2-2條規則，公司美國存託證券的下市將於向美國證交會提交25表格後的10日後生效。
公司已發行美國存託證券數量已從2020年年底約3,300萬份大幅下降至2021年4月底約500萬份，佔公司總髮行股份約0.2%。紐約梅隆銀行為公司的美國存託證券代理機構。美國存託證券持有人可以根據存託協議的條款和條件，將其持有的美國存託證券交還給紐約梅隆銀行以換取公司的普通股，交還的每1份美國存託證券可換取公司的10股普通股。公司的普通股可在香港聯合交易所有限公司進行交易。鑑於紐約證交所已於2021年1月11日上午4:00(美國東部標準時間)暫停美國存託證券的買賣，以及公司美國存託證券即將下市，美國存託證券持有人可向彼等的專業顧問或者紐約梅隆銀行諮詢有關美國存託證券轉換成公司普通股的事宜。
