贛鋒鋰業(01772.HK)擬不超1.9億英鎊要約收購Bacanora公司
格隆匯 5 月 6日丨贛鋒鋰業(01772.HK)公吿，江西贛鋒鋰業股份有限公司(以下簡稱“公司”)於2021年5月6日召開的第五屆董事會第二十五次會議審議通過了《關於全資子公司上海贛鋒對Bacanora公司進行要約收購涉及礦業權投資暨關聯交易的議案》，同意公司全資子公司贛鋒國際貿易(上海)有限公司(以下簡稱“上海贛鋒”)以自有資金對Bacanora公司所有已發行股份(上海贛鋒已持有股份除外)進行要約收購，交易金額不超過1.9億英鎊。
本次交易完成前，上海贛鋒持有Bacanora17.41%股權，同時上海贛鋒增持Bacanora股權比例至28.88%的交割手續仍在辦理中；本次交易完成後，上海贛鋒將持有Bacanora 100%股權。授權公司經營層全權辦理本次交易的相關事宜。
Bacanora是一家成立於2018年在英國倫敦證券交易所AIM板塊上市的公司，倫敦證券交易所代碼為BCN；註冊地址為4MoreLondonRiverside,London,SE12AU；主營業務為集團控股以及鋰黏土資源項目管理。其旗下的主要資產為位於墨西哥的鋰黏土Sonora項目；截至本公吿披露日，Bacanora的已發行股本為330,811,568股，上海贛鋒為第一大的股東，持有Bacanora17.41%的股權。
上海贛鋒與Bacanora各持有Sonora項目50%的股權。Sonora項目是位於墨西哥的鋰黏土提鋰項目，是目前全球最大的鋰資源項目之一。
根據Sonora項目的可行性研究報吿，該項目總鋰資源量為約合882萬噸碳酸鋰當量。得益於鋰黏土資源的獨特優勢，該項目的提鋰工藝特點是能夠同時兼具礦石提鋰以及鹽湖提鋰的優點，既能夠以類似礦石提鋰的速度在短時間內完成提鋰過程，也能夠以類似滷水提鋰的成本以較低成本完成提鋰。截至本公吿披露日，該項目尚未投產，預計一期項目投產後的年化氫氧化鋰產能為2萬噸。
