尚捷集團控股(03860.HK)獲日本上市公司收購75%股份 5月6日起復牌
格隆匯 5 月 6日丨EPS HOLDINGS, INC.及尚捷集團控股(03860.HK)聯合公吿，2021年4月26日，買方(即EPS Holdings, Inc.)、賣方(即Speed Development Co. Ltd，由擔保人全資擁有)與擔保人(即陳永啟，執行董事兼董事會主席)訂立買賣協議，據此，買方同意收購合共3.75億股銷售股份，總代價為3.705億港元(相當於每股銷售股份0.988港元)。
緊隨買賣完成後，買方及與其一致行動人士概無於任何股份中擁有權益。緊隨買賣完成後及於本聯合公吿日期，買方及與其一致行動人士於3.75億股股份中擁有權益，佔公司已發行股本總額的75%。領智證券將為及代表要約人遵照收購守則按每股要約股份現金0.988港元基準作出要約，要約價0.988港元較最後交易日在聯交所所報收市價每股1.800港元折讓約45.1%。
買賣協議為無條件，且買賣完成於4月26日籤立買賣協議後落實。根據買賣協議，賣方與擔保人不可撤銷地擔保、保證及承諾現有集團的經審核綜合除税後淨溢利(不包括任何非經常項目)將不少於1000萬港元；及現有集團的經審核綜合收益將不少於截至2024年3月31日止三個財政年度各年的2.4億港元。
買方為一間於日本註冊成立的有限公司，其已發行股份於東京證券交易所上市(股份代號：4282.T)。買方的主要業務活動包括於日本及亞洲就醫藥及醫療設備開發提供各類研發外包組織(CRO)、現場管理組織(SMO)、合同銷售組織(CSO)及相關售後服務。緊隨買賣完成後及於本聯合公吿日期，買方及其一致行動人士於3.75億股股份中擁有權益，相當於公司已發行股本的75%。要約人擬於要約完成後維持已發行股份於主板的上市地位。
2021年5月5日，公司與合營合夥人、與公司及其關聯人士並無關聯的獨立第三方、賣方及擔保人及與其任何一方一致行動但與要約人及其一致行動人士並非一致行動的訂約方訂立合營協議，以成立由公司及合營合夥人分別擁有51%及49%權益的合營公司。合營公司將主要在日本及中國從事帕金森綜合症的藥物篩選、褐色脂肪細胞減肥相關的藥物和機能型食品篩選的業務，由自體細胞誘導褐色脂肪細胞用於減肥細胞治療等業務。
董事會建議將公司的英文名稱由“Speed Apparel Holding Limited”更改為“EPS Creative Health Technology Group Limited”及中文名稱由“尚捷集團控股有限公司”更改為“EPS 創健科技集團有限公司”。建議更改公司名稱須待達成名稱更改條件後方可作實。公司的股份於2021年4月27日上午九時正起在聯交所暫停買賣，以待刊發本聯合公吿。公司已向聯交所申請其股份自5月6日上午九時正起在聯交所恢復買賣。
