韋爾股份(603501.SH)：信披存在問題 收到警示函
格隆匯 4 月 30日丨韋爾股份(603501.SH)公佈，公司於近日收到中國證券監督管理委員會上海監管局出具的《關於對上海韋爾半導體股份有限公司採取出具警示函措施的決定》(滬證監決[2021]67號)。警示函的詳細內容如下：

經查，你公司在信息披露方面存在以下問題：
你公司(統一社會信用代碼：9131000066244468X3)於2019年1月17日完成深圳市芯能投資有限公司(“芯能投資”)、深圳市芯力投資有限公司(“芯力投資”)100%股權的收購，收購價款合計16.87億元。其中，芯能投資、芯力投資主要資產分別為其持有的北京豪威科技有限公司6.31%股權、4.24%股權。2019年7月，你公司與興業銀行簽訂借款合同，借款金額為10億元，借款期限為2019年7月5日至2024年7月4日，借款用途為用於支付（或置換）芯能投資和芯力投資100％股權的股權併購款。你公司以持有的芯能投資、芯力投資100%股權及芯能投資、芯力投資持有的北京豪威科技有限公司10.55%股權提供質押擔保。上述質押資產的賬面值約佔最近一期經審計總資產37%。你公司對於上述資產質押情況未及時在臨時公吿中披露，直至2020年4月10日才在2019年年度報吿中披露。
上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款、第三十條第二款第十五項的規定。根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你公司採取出具警示函的監管措施。你公司應採取有效措施，提升信息披露質量。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向我會（中國證券監督管理委員會）提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
