格隆汇 4 月 28日丨粤海置地(00124.HK)公告,于2021年4月28日,广东粤海置地(公司的间接全资附属公司)与广番粤(公司的间接非全资附属公司)订立股权转让协议,据此,广东粤海置地有条件同意以现金代价人民币13.43亿元购买待转股权,相当于项目公司中山粤海置地有限公司全部股权约88.2128%,而广番粤亦有条件同意出售待转股权。

转让事项完成后,项目公司将继续为公司的间接非全资附属公司,项目公司将继续在公司的财务报表中综合入账。

广番粤透过公开挂牌竞买程序成功竞得中山土地的土地使用权。项目公司的成立目的为持有及开发中山粤海城项目。项目公司于2021年2月18日取得中山土地的《不动产权证书》。中山土地位于中国中山市翠亨新区起步区,占地面积约为98,811.2平方米,计容总楼面面积上限约247,028平方米。中山粤海城项目拟建物业类型包括住宅、车位等,将全部作出售用途。

集团主要从事房地产发展及投资业务。中山市是粤港澳大湾区("大湾区")九市一,集团对该市的房地产市道相当乐观。中山粤海城项目的开发,有利于实现集团在大湾区的区域发展策略,是布局大湾区核心区域的重要步骤,对于贯彻和落实集团在大湾区的扩展具有重大的战略意义。广番粤因具备必要的资质,被集团用于参与中山土地的公开挂牌竞买。

转让事项的目的,是在项目公司取得中山土地的《不动产权证书》后,让公司能够将其于项目公司的间接应占股权由80%增加至约97.64256%,这是集团与联合开发(广番粤20%股权的持有人)公平磋商的结果。

因此,董事相信,转让事项将能让集团在中山粤海城项目中获得更大的权益,从而获得高额的潜在投资回报,同时亦符合集团的长期业务计划及发展战略。
