粵海置地(00124.HK):廣東粵海置地擬13.43億元購買中山粵海置地約88.2128%股權
格隆匯 4 月 28日丨粵海置地(00124.HK)公吿,於2021年4月28日,廣東粵海置地(公司的間接全資附屬公司)與廣番粵(公司的間接非全資附屬公司)訂立股權轉讓協議,據此,廣東粵海置地有條件同意以現金代價人民幣13.43億元購買待轉股權,相當於項目公司中山粵海置地有限公司全部股權約88.2128%,而廣番粵亦有條件同意出售待轉股權。
轉讓事項完成後,項目公司將繼續為公司的間接非全資附屬公司,項目公司將繼續在公司的財務報表中綜合入賬。
廣番粵透過公開掛牌競買程序成功競得中山土地的土地使用權。項目公司的成立目的為持有及開發中山粵海城項目。項目公司於2021年2月18日取得中山土地的《不動產權證書》。中山土地位於中國中山市翠亨新區起步區,佔地面積約為98,811.2平方米,計容總樓面面積上限約247,028平方米。中山粵海城項目擬建物業類型包括住宅、車位等,將全部作出售用途。
集團主要從事房地產發展及投資業務。中山市是粵港澳大灣區("大灣區")九市一,集團對該市的房地產市道相當樂觀。中山粵海城項目的開發,有利於實現集團在大灣區的區域發展策略,是佈局大灣區核心區域的重要步驟,對於貫徹和落實集團在大灣區的擴展具有重大的戰略意義。廣番粵因具備必要的資質,被集團用於參與中山土地的公開掛牌競買。
轉讓事項的目的,是在項目公司取得中山土地的《不動產權證書》後,讓公司能夠將其於項目公司的間接應占股權由80%增加至約97.64256%,這是集團與聯合開發(廣番粵20%股權的持有人)公平磋商的結果。
因此,董事相信,轉讓事項將能讓集團在中山粵海城項目中獲得更大的權益,從而獲得高額的潛在投資回報,同時亦符合集團的長期業務計劃及發展戰略。
