吉利汽車(00175.HK)：擬將極氪品牌汽車相關資產併入合資公司
格隆匯 4 月 28日丨吉利汽車(00175.HK)公佈，有關公司與吉利控股就成立合資公司訂立合作框架協議，該合資公司將在中國成立一間間接全資擁有的外商獨資企業，以從事研發、採購及銷售包括極氪品牌智能純電動汽車在內的電動出行相關產品，以及提供相關服務。成立合資公司(ZEEKR Intelligent Technology Holding Limited，由公司及吉利控股分別間接擁有51%及49%的權益)於2021年3月31日完成。合資公司為公司附屬公司，且合資集團的財務業績將合併於集團的綜合財務報表中。
合資公司將在未來透過其間接全資擁有的外商獨資附屬公司整合研發、採購及銷售電動汽車所需要的各類資產及技術，用於打造智能汽車生態圈。
於2021年4月28日，公司全資附屬公司Value Century及浙江福林與上海華普及合資公司訂立華普國潤出售協議，據此，合資公司有條件同意透過其間接全資擁有的外商獨資附屬公司收購，而Value Century、浙江福林及上海華普有條件同意出售其各自於華普國潤的91%、8%及1%股權，現金代價合共約為人民幣9.804億元。華普國潤為投資控股公司，而合資公司收購華普國潤，作為控股公司整合成立智能汽車生態圈所需的資產。
為將極氪品牌汽車相關資產併入合資公司，於2021年4月28日，華普國潤與吉利汽車集團訂立極氪科技收購協議，據此，華普國潤有條件同意收購，而吉利汽車集團有條件同意出售極氪科技的全部註冊資本，現金代價約為人民幣4.853億元。於完成華普國潤出售事項及極氪科技收購事項後，合資集團將擁有極氪科技，並擁有進一步開發極氪001車型的技術。
公司認為華普國潤出售事項及極氪科技收購事項可實現合資集團整合資源從而從規模經濟中獲益的目標，且合資集團的財務業績將合併於集團的綜合財務報表中。此外，合資集團可利用吉利控股開發的創新技術，用於開發極氪品牌汽車，從而有助集團推廣其品牌及迅速把握電動汽車行業快速發展契機。
