易居企業控股(02048.HK)擬3億元收購添璣網絡全部股權
格隆匯4月27日丨易居企業控股(02048.HK)發佈公吿，於2021年4月27日，公司的間接全資附屬公司上海孜詠（作為買方）與添璣發展及添璣管理（作為賣方）就轉讓添璣網絡的全部股權訂立添璣網絡轉讓協議，代價為人民幣3億元。
添璣網絡為一家專注於中國房地產行業線上網絡及數據分析服務的技術服務商。添璣網絡經營多項業務，包括：(a)房地產仲介及電商服務，為企業提供互聯網服務工具及營銷解決方案，並經營一個線下融合線上房地產與電商相結合的電商平台；(b)房地產字典，提供儲存、編錄及整理住宅及非住宅房地產信息的數據庫平台（以及相關技術及系統）；(c)數據商城，向個人及企業提供房地產數據、數據報吿、數據服務及系統；及(d)EBaas（房地產區塊鏈即服務(Estate Blockchainasa Service)），專注於區塊鏈技術及應用的研發及創新，以從四個主要方面促進房地產行業的發展：房地產交易、金融、數據以及證書存儲及交換。
公司表示，添璣網絡通過其多家附屬公司經營多項技術型業務，可補充及支持公司的線上房地產分部。例如，房地產字典可(i)虛擬管理房地產分類及驗證房地產項目；(ii)規範及界定產品信息，為房地產行業的產品信息打造通用商業語言；及(iii)提供定價核實及驗證服務，公司認為該等服務對其房地產業務整體，尤其是對線上房地產業務（信任及遠程核實信息的方法對該業務而言至關重要）而言具有寶貴价值。
此外，公司將市場數據（尤其是可用於大數據算法、可通過大數據算法評估並有助於人工智能系統及輸出的數據）視為重點領域之一。有鑑於此，添璣網絡的數據商城可提供一個數據存儲、整理及數據抓取平台，作為全方位的房地產數據查詢及服務平台同時服務公司及其客户，以滿足客户的特定數據需求；利用用户及流量信息及技術資源服務其他數據服務供應商；及為房地產數據交換及交易提供區塊鏈技術。
再者，添璣網絡亦提供仲介及電商服務，包括輔助房地產交易及提高多方面效率的工具（如物業共享、報吿及瀏覽工具）；形成由開發商到代理人再到終端用户的垂直網絡，以覆蓋房地產交易全週期；及為經紀人提供平台，以建立數字經紀人檔案及便於資源分配。鑑於公司專注於為房地產行業的代理人及經紀人提供一系列服務，並提供一系列市場數據及諮詢服務，其正尋求將現有線下業務擴展至線上領域。更具體而言，對於同時涉足技術及房地產的添璣網絡，隨着公司擴展至線上及數字房地產服務領域，添璣網絡所擁有或運營的工具、技術及服務將成為公司的寶貴資產，並使集團的現有及發展中業務受益。
