移卡(09923.HK)完成收購CHUANGXINZHONG LTD全部股權
格隆匯 4 月 26日丨移卡(09923.HK)發佈公吿，收購事項的所有先決條件已獲達成及交割已於2021年4月23日根據購股協議所載的條款及條件進行。交割後，(1)目標公司及Chuangxinzhong HK已分別成為公司的直接全資附屬公司及公司的間接全資附屬公司，該等公司的財務業績將綜合列入集團的財務報表；(2)北京創信眾分別由移卡科技、Chuangxinzhong HK、秦令今先生、張國顯先生、裴瀟先生及湛揚先生分別擁有42.50%、42.50%、9.61%、3.30%、1.30%及0.79%權益；及(3)公司根據特定授權按發行價每股代價股份37.50港元向賣方配發及發行合共490.3萬股股份作為待售股份的部份代價。
基於以應用程序為重點的支付服務，公司致力於建立一個獨立可持續發展的商業數字化生態系統。就公司的支付服務方面，於本公吿日期，二維碼日支付交易筆數峯值超過3,600萬筆。公司於2021年第一季度的支付總金額較2020年增加49.8%。截至2021年3月31日，公司支付服務所觸達的消費者人數及活躍支付服務商户(於過去12個月內使用公司服務的總交易金額超過人民幣1,000元的商户)較截至2020年3月31日分別增加80.9%及16.3%。隨着2021年第一季度流量的迅速增長，公司可通過其精準營銷服務實現迅速變現。公司於2021年第一季度的市場營銷服務曝光總數較2020年同期高十倍。
此外，就公司的商户SaaS產品方面，2020年推出的聚惠掃掃所服務的商户數於截至2021年3月31日達到118,093，為截至2020年3月31日的約30倍。公司經營私域流量解決方案的約惠圈乃利用區塊鏈底層技術的優惠券聚合和分發平台。自2020年推出後，截至2021年3月31日服務近100,000個商户，較截至2020年12月31日增加76.8%。展望未來，公司將繼續擴大其生態系統，提供領先的研發及產品創新能力，以為商户及消費者開發更多創造價值的方式。
