中芯國際(00981.HK)擬出售SJ Semiconductor Corporation 約55.87%股份
格隆匯 4 月 22日丨中芯國際(00981.HK)公吿，於2021年4月22日，公司與該等買方(SilverStarry、Integrated Victory、中金共贏、啟鷺(廈門)、中金上汽新興產業基金、蘇州元禾厚望及蘇州璞華創宇)訂立股份轉讓協議，據此(其中包括)，公司同意出售而該等買方同意根據股份轉讓協議的條款及條件以對價購買目標公司SJ Semiconductor Corporation 約55.87%股份。
公司及其子公司是世界領先的集成電路晶圓代工企業之一，也是中國內地技術最先進全面、配套最完善、規模最大、跨國經營的集成電路製造企業，提供0.35微米到14納米不同技術節點的晶圓代工與技術服務。集團總部位於中國上海，擁有全球化的製造和服務基地。在上海建有一座300mm晶圓廠、一座200mm晶圓廠和一座實際控股的300mm先進製程晶圓合資廠；在北京建有一座300mm晶圓廠和一座控股的300mm晶圓廠；在天津和深圳各建有一座200mm晶圓廠；在江陰有一座控股的300mm凸塊加工合資廠。集團還在美國、歐洲、日和中國台灣地區設立行銷辦事處、提供客户服務，同時在香港設立了代表處。
目標公司於2014年8月成立，為一家於開曼羣島註冊成立的獲豁免有限公司，於公吿日期，分別由公司、國家集成電路基金、江蘇長電科技股份有限公司("長電科技")及高通公司("高通公司")擁有55.87%、29.31%、8.62%及5.86%權益，剩餘0.34%的權益由目標公司的多名員工共同持有。長電科技為全球領先的集成電路系統集成和封裝測試服務提供商。高通公司為全球領先公司，專注無線行業基礎技術的開發和商業化。
於公吿日期，目標集團包括目標公司、中芯長電(香港)、SJUSA及中芯長電(江陰)。目標公司全資擁有SJUSA及中芯長電(香港)，而中芯長電(香港)則全資擁有中芯長電(江陰)。中芯長電(江陰)於2014年11月於中國江蘇省江陰市成立。
目標公司、中芯長電(香港)、SJUSA及中芯長電(江陰)致力成為專注於先進凸塊製造技術的領先專業中段硅片加工企業，併為國內外客户提供優質、高效的芯片加工，以及便利的一條龍服務，幫助地及國際客户進一步增強全球業務的競爭力。
公司從交易中將獲得正面投資回報。董事認為，股份轉讓協議的條款公平合理，屬正常商業條款，而交易符合公司及其股東的整體利益。
