徐工機械(000425.SZ)：擬吸收合併徐工有限 明起復牌
格隆匯 4 月 20日丨徐工機械(000425.SZ)公佈，公司擬向徐工有限的全體股東徐工集團、天津茂信、上海勝超、江蘇國信、建信金融、金石彭衡、杭州雙百、寧波創翰、交銀金投、國家制造業基金、寧波創績、徐工金帆、福州興睿和盛、河南工融金投、上海港通、天津民樸厚德、中信保誠發行股份吸收合併徐工有限。上市公司為吸收合併方，徐工有限為被吸收合併方。
此次吸收合併完成後，上市公司作為存續公司承繼及承接徐工有限的全部資產、負債、業務、人員及其他一切權利與義務，徐工有限的法人資格將被註銷，徐工有限在此次交易前持有的上市公司股份將被註銷，徐工集團、天津茂信、上海勝超、江蘇國信、建信金融、金石彭衡、杭州雙百、寧波創翰、交銀金投、國家制造業基金、寧波創績、徐工金帆、福州興睿和盛、河南工融金投、上海港通、天津民樸厚德和中信保誠將持有吸收合併後上市公司的相應股份。
此次交易方案為上市公司通過發行股份吸收合併徐工有限。標的公司的資產總額占上市公司最近一個會計年度經審計的合併財務會計報吿期末資產總額的比例預計將達到50%以上。根據《重組管理辦法》，此次交易構成上市公司重大資產重組，需按規定進行相應信息披露，並提交中國證監會併購重組審核委員會審核。
截至預案簽署日，此次交易的審計和評估工作尚未完成。被吸收合併方徐工有限的交易價格將以符合《證券法》規定的資產評估機構評估並經國有資產監督管理部門核准或備案的評估結果為基礎確定。上述評估結果及相關內容將在重組報吿書中予以披露。
此次交易前，上市公司的主營業務為起重機械、鏟運機械、壓實機械、路面機械、樁工機械、消防機械、環衞機械和其他工程機械及備件的研發、製造、銷售和服務工作。此次交易完成後，上市公司將承接及承繼被合併方徐工有限的全部資產、負債、業務、人員及其他一切權利與義務，徐工有限旗下挖掘機械、混凝土機械、礦機、塔機等工程機械生產配套資產將整體注入上市公司，有利於優化產業結構、完善產業佈局。上市公司未來將通過優良的管理經驗，進一步提升盈利能力和資產規模，為上市公司的持續經營提供堅實保障。
根據深圳證券交易所的相關規定，經公司申請，公司股票將於2021年4月21日開市起復牌。
