弘陽服務(01971.HK)以7354萬元收購高力物業及江蘇高力美家80%權益
收購有利於增強集團於江蘇省的規模經濟效應,把握汽車博覽城及家居港物業服務之增長機遇。
2021年4月20日,深耕長三角地區、增長迅速的綜合社區服務供應商弘陽服務集團有限公司("弘陽服務"或"集團",股份代號1971)宣佈旗下全資附屬公司弘生活物業管理向高力控股收購高力物業及江蘇高力美家兩家南京本土的物業管理企業80%的權益("目標公司"),總代價人民幣7,354萬元。是次收購有利於弘陽服務擴大業務的規模和覆蓋範圍,增強集團於江蘇省內的規模經濟效應,促進增值服務及其他業務的發展,進而為集團帶來新的增長機會。
目標公司於中國主要從事物業管理服務,專注於家居港及汽車博覽城物業管理服務。 截至2020年12月31日止,目標公司的年度收入達人民幣3,652萬元,較去年同期上升33.9%﹔除税後溢利達人民幣7,301萬元,較去年同期增長56.7%。根據協議,目標公司將向弘生活物業管理承諾於2021、2022及2023財年的營業收入將分別不低於人民幣4,240萬元、4,876萬元及5,607億元; 淨利潤分別不低於人民幣881萬元、1,013萬元及1,165萬元。是次收購相等於市盈率約10.4倍(以目標公司截至2021年12月31日止年度最低承諾淨利潤為基準,並參照市場同業併購案例釐定)。
通過此次收購,集團將可填補在汽車博覽城物業管理細分領域的空白,在後疫情時代宏觀經濟復速的背景下,汽車產業園及汽車博覽城物業發展潛力巨大,集團有望在此新的細分賽道取得新突破。
於公吿日期,目標公司共擁有12項物業管理及服務項目,簽約總建築面積約為1,194,659平方米。服務內容涉及物業全委託管理、物業項目策劃服務、保安服務、保潔服務、維修服務、園林綠化服務、家政服務、商業服務等。管理業態包括家居港、汽博城、公寓及住宅等。於2020年12月31日的未經審核合併資產淨值約為人民幣2,202萬元。
於收購事項完成後,目標集團將成為集團的附屬公司,且其財務資料將綜合併入集團的財務報表。
