申萬宏源(06806.HK)子公司對RAAS CHINA及上海世聯行提起訴訟仲裁
格隆匯4月20日丨申萬宏源(06806.HK)發佈公吿，2017年10月15日，申萬宏源證券與RAAS CHINA LIMITED簽訂《申萬宏源證券有限公司股票質押式回購交易業務協議》，2017年10月19日雙方簽訂了《申萬宏源證券有限公司股票質押式回購交易協議書》，約定RAAS CHINA LIMITED以其1,920萬股“上海萊士”（證券代碼：002252）作為質押標的股票，向申萬宏源證券融入合計人民幣20,000萬元的資金。科瑞天誠與申萬宏源證券簽署了《保證合同》，對《協議》項下全部債務承擔連帶保證責任。2018年3月公司、RAASCHINALIMITED、深圳萊士、科瑞天誠簽訂了《申萬宏源證券有限公司股票質押式回購交易業務協議補充協議》，約定《協議》項下待購回期限屆滿之日止的應付未付利息（不含最後一期）由深圳萊士按照《協議》約定的日期向申萬宏源證券支付。RAASCHINALIMITED對深圳萊士的利息支付義務承擔連帶責任，科瑞天誠為深圳萊士在《補充協議》下的義務承擔連帶保證責任。2018年9月21月，深圳萊士未按照合同的約定支付相應的利息。
2019年10月21日，RAAS CHINA LIMITED到期未按約定購回。科瑞天誠亦未按合同的約定承擔相應擔保責任。為維護自身合法權益，申萬宏源證券向上海金融法院提起訴訟，要求RAAS CHINA LIMITED向申萬宏源證券支付未償還本金人民幣20,000萬元及相關利息、違約金，深圳萊士向申萬宏源證券支付相關利息，科瑞天誠對RAAS CHINA LIMITED、深圳萊士的上述支付義務承擔連帶清償責任等。上海金融法院已受理該案，受理時間2021年4月12日。
此外，2015年11月5日，申萬創新投與作為普通合夥人的上海世聯行等其他相關主體共同簽署了《上海祺浩投資合夥企業（有限合夥）合夥協議》，設立上海祺浩投資合夥企業（有限合夥）。2016年11月期間，申萬創新投與上海世聯行簽署了《關於上海祺浩投資合夥企業（有限合夥）的補充協議》，約定在滿足特定條件的前提下，申萬創新投有權要求上海世聯行按照協議約定的收購價格收購其持有的上海祺浩合夥份額。回購條件滿足後，申萬創新投多次要求上海世聯行履行收購義務，但上海世聯行並未履行相關義務。
為維護公司的合法權益，申萬創新投向上海國際經濟貿易仲裁委員會（上海國際仲裁中心）申請仲裁，要求上海世聯行履行收購義務，支付投資款及協議約定的回購利息（暫計至起訴日）合計人民幣61,785,402.74元。近日，收到仲裁庭受理通知書，上海國際經濟貿易仲裁委員會已受理本案。
