粵海投資(00270.HK)擬9.05億元收購嘉誠環保工程53%股權
格隆匯4月19日丨粵海投資(00270.HK)公佈，公司的一間全資附屬公司-粵海水務投資已訂立《股份轉讓合同》以收購嘉誠環保工程註冊股本總額合共53%的股權，總代價9.05億元人民幣。在股份轉讓完成時，嘉誠環保工程將分別由粵海水務投資、渤海水業和李華青女士持有53%、34%和13%的股權。
根據《股份轉讓合同》，粵海水務投資將需提供合共不超過人民幣39.7億元的金額，包括（i）第一部份股權轉讓對價（可予調整）;（ii）第二部份股權轉讓對價；（iii）不超過人民幣20.11億元銀行再融資的擔保；（iv）為未來新增投資項目提供提供不超過人民幣5.2億元財務資助的承諾；（v）為由嘉誠環保工程營運的現有水務項目提供不超過人民幣5.34億元財務資助的承諾。
公司獲悉，於2021年4月15日，嘉誠環保工程、行唐嘉誠水司（嘉誠環保工程的全資附屬公司）、邯鄲嘉誠污水處理公司（嘉誠環保工程的全資附屬公司）和嘉誠焦作水司（嘉誠環保工程的非全資附屬公司）與粵海融資租賃（粵海控股的全資附屬公司，為公司的最終控股股東）訂立融資租賃安排，其中包括租賃物轉讓協議；融資租賃合同，據此，行唐嘉誠水司、邯鄲嘉誠污水處理公司和嘉誠焦作公司，作為租賃資產擁有人，同意轉將租賃物轉讓予粵海融資租賃，購買代價為人民幣2.24億元，以及粵海融資租賃已同意將將該租賃物租予行唐嘉誠水司、邯鄲嘉誠污水處理公司和嘉誠焦作水司，租賃代價為人民幣2.37億元，為期12個月。
租賃物指融資租賃合同中所列的行唐嘉誠水司、邯鄲嘉誠污水處理公司、嘉誠焦作公司一套約定的相關建設資產。
公司表示，嘉誠環保工程是一家在中國開展業務的公司，提供廣泛的環境工程開發和諮詢工作，尤其着重於中國河北省及河南省的市政給排水工作。董事會相信粵海水務投資參與股權轉讓將使集團獲得該地區的相關經驗，以進一步提高集團在華北地區的市場份額和品牌影響力。集團將來可能會借監嘉誠環保工程在當地的經驗以及與項目客户和地方政府的長期合作關係，在中國北方開拓更多的發展機會。
