聯合醫務(00722.HK)收購東藝有限公司75%權益
格隆匯 4 月 19日丨聯合醫務(00722.HK)發佈公吿，2021年3月31日，UMP已完成收購東藝目標股份的75%。東藝是一間在油尖旺區提供MRI服務的公司。代價1512萬港元經公司與該等賣方按公平原則磋商後達成。集團以內部資源撥付代價。完成後，東藝已成為公司的間接全資附屬公司並將併入集團的財務報表。
東藝為一間於香港註冊成立的有限責任公司，於完成前由該等賣方實益擁有目標股份的75%。自2017年5月起，目標股份的其餘25%由UMP持有。
誠如2021年中期報吿所披露，集團將專注於提升核心業務的競爭力，同時繼續開拓新商機。集團相信，收購事項將為集團提供堅實的據點，以擴展其在診斷影像及化驗室業務的版圖，並加強集團的客户羣，讓集團能夠實現收入來源的多元化和拓展。
上述觀點與集團2021年中期報吿所載的策略一致。按照所訂定的多元化發展策略，集團一直積極發掘新商機以擴大業務組合。憑藉穩健的現金流和經常性客户羣，集團正積極探索新的併購機遇，冀藉此鞏固業務根基，並擴大先進醫學影像服務的範圍。
由於新型冠狀病毒的影響深遠、大眾的健康意識提高以及香港人口老化對醫療服務的需求殷切，先進醫學影像服務面對的需求持續穩定增長，發展潛力巨大。集團可通過投資於東藝而取得一項增長中業務的控股權，從而更迅速及更便捷地推進中長線營運策略。
收購事項亦有助為集團前景看俏而穩定的基層醫療業務帶來寶貴的協同效益。整體而言，將另一項以MRI為重點的業務納入集團的服務範圍，乃切合集團提供更可及且可負擔的全方面醫療服務的整體策略。
完成後，集團的先進醫學影像服務現已覆蓋廣泛的服務範圍，而有關服務全部位於具策略意義的業務地點。集團透過旗下多個全資或部分擁有的醫療中心，在銅鑼灣、中環、尖沙咀及旺角等人煙浩穰的香港地區提供PET-CT、CT掃描、 MRI、超聲波、乳房造影及其他醫療影像及化驗服務。以上的業務佈局有助客户縮短在獲得轉介時的路程，令集團多個服務點更為便捷可及，並有助於增加旗下診所的客流量，為集團打造一個更為垂直整合的醫療生態系統。
未來，多元化的醫療產品將繼續是主要增長動力，而集團的產品必須與旗下核心業務密切相關及起相輔相成之效。因此，為提升集團的長遠發展潛力，收購事項將鞏固其在醫療行業的地位，並符合股東的利益。
