ESR(01821.HK)將收購澳洲大型物業組合 將大幅增加澳洲業務規模
格隆匯4月18日丨ESR(01821.HK)公佈,於2021 年4 月17日,ESR Real Estate (Australia) Pty Limited(ESR澳大利亞,為公司的附屬公司)及共同投資人Recosia Pte Ltd已與物業賣方及營運公司Milestone Operations Limited賣方訂立具約束力的協議。當中訂明,待於南韓及中國獲得合併許可批文後,競標公司(作為公司間接持有其20%權益的ESR Milestone Partnership的受託人)將就收購物業組合與物業賣方訂立單位銷售協議。物業單位銷售協議須待於其他相關司法權區獲得合併許可批文及於澳洲獲得外國投資審查委員會批准後,方可作實。
集團與共同投資人將共同投資物業組合,方式為按彼等各自於ESRMilestone Partnership的權益比例為競標公司(作為ESR Milestone Partnership的受託人)收購物業組合提供資金。集團將提供資金支付20%的收購物業組合的代價及相關成本。集團將為競標公司提供資金7.53億澳元。
物業組合包括持有位於澳洲的45個工業及物流房地產的單位信托,其總土地面積為360萬平方米,建築可出租總面積為140萬平方米。
因應物業收購事項,促成契約另行訂明,ESR買方(公司的附屬公司)將就收購營運公司(為物業組合提供支持及受託人服務)的全部已發行股份與營運公司賣方訂立售股協議。營運公司售股協議與物業單位銷售協議將於同一時間訂立。完成物業收購事項與完成營運公司收購事項互為依存。
公司表示,物業組合為澳洲市場上推出的最大物流組合。物業收購事項可將集團的資產管理規模及澳洲業務的規模增加至60億美元。ESR共同投資物業組合將可提升集團於澳洲物流地產行業的參與度。待營運公司收購事項完成後,集團預期會為物業組合提供管理服務,並將大幅增加集團自澳洲業務產生的經常性盈利。ESR共同投資及營運公司收購事項與集團作為專注亞太區的最大物流地產擁有人及管理人的業務策略相符一致。集團預期,按所管理的資產及總面積計算,該等收購事項將使集團成為澳洲第三大物流地產管理公司。
