意達利控股(00720.HK)接納終止MASERATI汽車經銷權
格隆匯 4 月 16日丨意達利控股(00720.HK)公吿，內容有關公司全資附屬公司AutoItalia(HongKong) Limited("附屬公司")針對MaseratiS.p.A.("Maserati")提出的訴訟。 附屬公司於香港高等法院向Maserati發出傳訊令狀，宣稱(其中包括)於2018年10月1日簽訂所謂"進口及經銷協議"不法地終止經銷權協議。
自從於香港高等法院發出傳訊令狀，公司與附屬公司一直積極與Maserati進行商業商談。於公吿日期，雙方仍未就有關事宜達成共識。
董事會注意到啟動全面訴訟可能產生的成、時間及其他資源，故訴訟將暫時終止，以待公司、附屬公司與Maserati進行磋商。
公司董事會一直密切關注和檢討訴訟以及Maserati汽車經銷業務("經銷業務")的營運及表現。董事會認為，訴訟必然會涉及訴訟風險、相當的時間和法律費用，因而會分散集團的管理和財務資源。
此外，董事會得悉，經銷業務於過去三個財政年度錄得虧損，以及於2020整個年度受COVID-19疫情和就此帶來經濟不振的嚴重打擊。誠如公司於2021年3月30日刊發截至2020年12月31日止年度的年度報吿所示，2020年向Maserati客户交付的汽車數目較上一年度急跌約40%，汽車分部收入由2019年的2.21億港元大幅降至1.2億港元。
鑑於(i)訴訟涉及相當的時間和高昂的費用，另需承擔相關的訴訟風險；(ii)越見艱難的營商環境對經銷業務構成不利影響；及(iii)經銷業務近年表現並不理想，董事會決定，集團別無選擇，只能接納Maserati於2020年10月28日向附屬公司發出的終止Maserati經銷權通知("接納終止")，此舉有助集團重新分配資源，將資源集中發展其他主營業務，即金融投資及服務、生命科學投資及物業投資。
集團以生命科學和醫療行業為重心，繼續尋求有關商機，並於2020年2月完成認購Chime Biologics Limited的A系列優先股。另外，公司於2021年3月進一步收購DakotaREII Limited的控股權，從而保障集團物業投資分部的可觀收入來源。
基於上文所述，董事會認為，接納終止符合公司及其股東的整體利益。受監管和合規要求所限，除非出現任何無法預知的情況，預計經銷業務將於2021年4月26日終止。
