森信紙業集團(00731.HK)就建議重組事宜訂立條款書 繼續停牌
格隆匯4月13日丨森信紙業集團(00731.HK)發佈公吿，於2021年4月13日，公司、共同臨時清盤人及該等投資者就集團建議重組事宜訂立條款書，當中包括(i)股本重組；(ii)認購事項；(iii)集團重組；(iv)公開發售；(v)上市公司計劃；及(vi)復牌。
重組事宜將包括：(a)股本重組，其可能包括（其中包括）股本削減、註銷股份溢價、股份合併及╱或註銷，以及增加公司法定股本；(b)認購事項，其包括由該等投資者認購認購股份，而認購事項所得款項金額相等於人民幣1億元的港元，佔經擴大股本約70%。認購事項所得款項須用作根據上市公司計劃重組公司債務，或訂約各方於條款書協定的有關其他目的。
(c)集團重組，當中包括：於中國以外司法管轄區註冊成立由公司全資擁有的特別目的公司1；於中國註冊成立由特別目的公司1全資擁有的特別目的公司2；關於遠通紙業的境內破產重組計劃，當中涉及（其中包括）重組遠通紙業債務，以及遠通紙業成為特別目的公司2的全資附屬公司；將除外附屬公司轉讓予計劃公司。保留集團將主要從事紙品製造；及該等投資者向遠通紙業提供金額不少於人民幣8000萬元的現金臨時融資額度，以供遠通紙業作營運用途。
(d)公開發售，當中涉及根據該等投資者與公司將予協定的基準，於有關股東獲得有關權利當日，向合資格股東配發及發行公開發售股份。公開發售股份數目不得多於經擴大股本的4%。該等投資者須以認購價包銷各公開發售股份；(e)上市公司計劃，當中涉及：於扣除落實重組事宜的成本及開支後，將認購事項所得款項注入上市公司計劃，以免除公司於上市公司計劃下結欠計劃債權人的債務；根據上市公司計劃，向計劃債權人發行債權人股份，佔經擴大股本約17%。轉讓除外附屬公司予計劃公司；及將保留集團應收除外附屬公司的集團往來應收款項（如有）轉讓予計劃公司。
據悉，投資者A為於中國註冊成立的有限公司廈門建發紙業有限公司。投資者A為廈門建發股份有限公司的全資附屬公司，而廈門建發股份有限公司的股份於上海證券交易所上市（股份代碼：600153）。投資者A主要從事林木產品（如紙品、紙漿、木片及生活用紙）的採購及供應。
投資者B為於中國註冊成立的有限公司浙江新勝大控股集團有限公司。投資者B的主要業務包括紙品、化工製品、塑料製品及五金製品的生產與銷售。
此外，公司股票將繼續停牌。
