ST樂凱(300446.SZ)：可能被實施退市風險警示
格隆匯 4 月 10日丨ST樂凱(300446.SZ)公佈，公司於2021年4月9日披露了《2020年度業績修正預吿》(公吿編號：2021-007)。修正前的《2020年度業績預吿》披露公司2020年度扣除後營業收入為1.1億元-1.5億元。經與會計師事務所溝通，根據《深圳證券交易所創業板股票上市規則(2020年12月修訂)》第10.3.1條的規定，鑑於公司在2020年12月21日完成收購保定市樂凱化學有限公司(“樂凱化學”)71.0355%股權事項的股權交割及工商登記變更手續，會計師事務所認為樂凱化學2020年度期初至合併日的營業收入屬於與公司主營業務無關的業務收入，應當被扣除。扣除樂凱化學相關營業收入後，公司預計2020年度經審計的淨利潤為負值且營業收入低於1億元。
如果公司2020年度經審計的淨利潤為負值且營業收入低於1億元，將觸及《深圳證券交易所創業板股票上市規則(2020年12月修訂)》第10.3.1條“上市公司出現下列情形之一的，本所對其股票交易實施退市風險警示：(一)最近一個會計年度經審計的淨利潤為負值且營業收入低於1億元，或追溯重述後最近一個會計年度淨利潤為負值且營業收入低於1億元。”“本節所述淨利潤以扣除非經常性損益前後孰低者為準。前款第一項所述營業收入應當扣除與主營業務無關的業務收入和不具備商業實質的收入。”規定的情形，公司2020 年年度報吿披露後，公司股票交易可能存在被深圳證券交易所實施“退市風險警示”的風險。
截至公吿日，公司2020年年度報吿審計工作仍在進行中，最終財務數據以公司正式披露的經審計後的2020 年年度報吿為準。如公司2020年度經審計的財務數據觸及《深圳證券交易所創業板股票上市規則(2020年12月修訂)》第10.3.1條的相關規定，公司將在披露2020 年年度報吿的同時，披露公司股票交易被實施退市風險警示的公吿。公司股票於公吿後停牌一天，自復牌之日起，深圳證券交易所對公司股票交易實施退市風險警示。
