滿貫集團(03390.HK)擬與健倍苗苗設立合營 負責相關自有品牌產品營運及推廣
格隆匯 4 月 8日丨滿貫集團(03390.HK)宣佈，截至公吿日期，集團與健倍苗苗集團已訂立多份協議，以利用兩個集團各自的優勢組建更緊密的聯盟，以實施進一步戰略合作。
據悉，集團主要從事分銷中成藥、保健、皮膚護理、個人護理及其他健康護理產品。多年來，集團已建立完善有效的分銷渠道，並提供一整套深受客户歡迎的產品。此外，集團擁有豐富的品牌管理經驗。集團努力透過各種銷售及營銷策略，令集團分銷的第三方品牌產品及私有品牌產品為客户所知，旨在增加該等產品的市場份額。
健倍苗苗集團主要從事在大中華地區、東南亞及其他國家營銷及分銷品牌保健品。健倍苗苗集團亦在經營兩個獲GMP認證的中成藥生產設施。健倍苗苗集團的產品組合現時包括保濟丸、何濟公止痛退熱散、唐太宗活絡油、飛鷹活絡油、十靈丹、十靈油及傷風克。所有該等品牌在消費者中享有很高的知名度，具有強大的市場地位，因此能為健倍苗苗集團管理的營銷及分銷資源創造可持續的協同效應。
除為集團若干中成藥及消費保健品的供應商外，雅各臣科研製藥集團(佔21%)、集團(佔49%)及一名獨立第三方(佔30%)現時亦共同擁有一家公司，該公司全資擁有另一家香港公司，該香港公司主要從事在香港零售(透過兩個零售店)及批發醫藥產品和中成藥產品。
由於集團及健倍苗苗集團均對中成藥和中式保健品及補充品市場具有深入瞭解及專業知識，各訂約方希望利用各自的優勢並以下述方式相互合作。
為利用健倍苗苗集團強大的開發及製造能力和集團強大的品牌管理專長，各訂約方有意令健倍苗苗集團開發及製造迎合且適應市場趨勢和消費者需求的自有品牌產品，集團提供分銷該等自有品牌產品的分銷渠道，合營集團制定並實施各種銷售及營銷策略，以打造自有品牌產品的品牌形象並增加其市場份額。
就此，集團與健倍苗苗集團已於2021年4月8日就成立合營公司訂立合營協議，合營公司由集團及健倍苗苗集團分別擁有50%，將由兩個集團共同控制。合營公司並非合營夥伴的附屬公司，而合營集團的財務報表將由集團以權益法入賬。
合營公司為一家投資控股公司，集團及健倍苗苗集團的初步計劃是，合營集團將有兩個獨立的業務部門，即營銷部門及持有自有品牌產品的IP權。
根據合營協議，(i)各訂約方將於簽署合營協議後儘快註冊成立IP公司，以持有自有品牌產品的所有IP權，該公司將由健倍苗苗集團及合營公司分別擁有70%及30%；及(ii)待IP公司註冊成立後，健倍苗苗集團將促成向集團授予自有品牌產品的獨家分銷權，以進行分銷，而合營集團將負責自有品牌產品的營銷及推廣。
自有品牌產品預期於2021年下半年推出。
