紫光學大(000526.SZ)：公司由無實控人變更為有實控人 為金鑫
格隆匯 4 月 7日丨紫光學大(000526.SZ)公佈，2020年12月17日，公司收到中國證券監督管理委員會下發的《關於核准廈門紫光學大股份有限公司非公開發行股票的批覆》(證監許可〔2020〕3384號)，核准公司本次非公開發行不超過28,858,532股新股。
2021年3月19日，公司本次實際發行的21,567,602股新增股份已登記完成並在深圳證券交易所上市，具體情況詳見公司於2021年3月17日發佈的相關公吿。
根據《公司法》、《上市公司收購管理辦法》等相關法律、法規和規範性文件的規定，以及公司的此次非公開發行股票的結果、最新股權結構和董事會成員構成情況，公司由無控股股東變更為有控股股東，由無實際控制人變更為有實際控制人。現將相關情況公吿如下：
《上市公司收購管理辦法》規定，“有下列情形之一的，為擁有上市公司控制權：(一)投資者為上市公司持股50%以上的控股股東；(二)投資者可以實際支配上市公司股份表決權超過30%；(三)投資者通過實際支配上市公司股份表決權能夠決定公司董事會半數以上成員選任；(四)投資者依其可實際支配的上市公司股份表決權足以對公司股東大會的決議產生重大影響；(五)中國證監會認定的其他情形。”
截至公吿日，金鑫控制的天津安特文化傳播有限公司(“天津安特”)、浙江台州椰林灣投資策劃有限公司(“椰林灣”)和天津晉豐文化傳播有限公司(“晉豐文化”)合計持有公司24.65%的股份，為公司第一大股東。
公司於2021年4月7日召開2021年第一次臨時股東大會，審議通過了《關於陳斌生先生辭去董事職務的議案》、《關於選舉公司第九屆董事會非獨立董事的議案》，金鑫及其一致行動人提名的董事人選已經達到非獨立董事人選的半數以上。
因此，根據《上市公司收購管理辦法》等相關法律、法規和規範性文件的規定，以及公司此次非公開發行的結果、公司最新股權結構和董事會成員構成情況，公司由無控股股東變更為有控股股東，控股股東變更為天津安特、椰林灣和晉豐文化；由無實際控制人變更為有實際控制人，實際控制人變更為金鑫。
