華誼騰訊娛樂(00419.HK)擬收購處方藥新零售平台業務
格隆匯 4 月 7日丨華誼騰訊娛樂(00419.HK)公吿，公司及柏海投資(公司全資附屬公司)於2021年4月7日與目標公司平潭心伴門診部有限公司、醫智諾及創始股東訂立增資及收購協議。
據此，柏海投資已有條件同意(i)向北京夢想樹收購目標公司註冊資本中人民幣100萬元所對應的股權，並認購目標公司新註冊資人民幣1986.36萬元(合共將佔目標公司經增資擴大後總股權的51%)，代價不超過人民幣2.04億元(須待目標集團達成首個表現目標(即主要是目標集團於完成日期後首年總收入達人民幣1.5億元)及第二個表現目標(即主要是目標集團於達成首個表現目標後的年度總收入達人民幣6億元及除税後利潤達人民幣4000萬元)後方會悉數支付)；及(ii)待目標集團達成首個表現目標及第二個表現目標後，且目標公司不存在股權代持安排，向創始股東收購目標公司總股權的餘下49%，代價不超過人民幣1.96億元(可視乎進一步收購事項完成後兩年內各年目標公司達成保證利潤不少於人民幣5000萬元的程度而作出調整)。
收購目標公司經增資擴大後股權的100%的代價總金額不超過人民幣4億元。上述代價將由投資人部分以現金支付(總金額不超過人民幣1億元)及部分由本公司發行代價股份(將受若干禁售承諾規限)支付(總金額不超過人民幣3億元)。
向北京夢想樹收購及增資須待達成多項先決條件後方吿完成，其中包括就向北京夢想樹收購簽訂股權轉讓協議及股東協議(當中載有目標公司經營及管理的條款，以及柏海投資對其將於目標公司持有的股權享有優先權)。進一步收購事項須待目標集團達成首個表現目標及第二個表現目標後，且目標公司不存在股權代持安排，方吿完成。
代價股份預期將由公司根據一般授權發行。公司履行責任發行代價股份，須遵守上市規則的適用規定(如有)，且須待聯交所批准有關代價股份上市及買賣後，方可作實。
目標集團已研發一套處方藥新零售系統，將醫生、就診者及實體藥店連接起來，建立一個從醫生開具電子處方至就診者從藥店訂購處方藥、進行線上支付及最後藥物配送的閉環。目標集團將依據就診者通過新零售平台從藥店訂購處方藥的總商品交易額的一定比例，向藥店收取平台服務費。
