巨星科技(002444.SZ)：擬以1.314億美元收購Geelong 100%股權
格隆匯 4 月 6日丨巨星科技(002444.SZ)公佈，公司擬通過支付現金的方式購買蘭馨亞洲投資管理集團有限公司(Orchid Asia) (“蘭馨亞洲”)通過Geelong Orchid Holdings Ltd持有的Geelong Holdings Limited (“Geelong”或“基龍”)100%股權，交易價格為1.314億美元。
基龍是目前全球領先的存儲箱櫃公司，2019年收入14億元港幣，利潤1.49億元港幣，2020年雖然受到疫情影響收入利潤均大幅下滑，但其業務有望在21年獲得全面恢復和提升達成15億港幣以上的收入目標。本次收購基龍公司將給公司帶來豐厚的投資回報。
公司2018年收購了歐洲第一的存儲箱櫃公司Lista，2017年LISTA公司收入1.13億歐元，淨利潤1047萬歐元。在公司和歐洲團隊的努力下，GreatStar Europe AG(目前主要經營實體為LISTA公司)2019年收入1.22億歐元，淨利潤1708萬歐元，淨利潤增長超過60%。2020年雖然受到疫情影響GreatStar Europe AG(目前主要經營實體為LISTA公司)收入下滑超過30%，並且計提了商譽減值，但是淨利潤相比2017年依然增長超過30%。充分説明了公司在產業併購和業務整合上具有獨特的優勢和較強的能力。基龍加入公司後，雙方也將在研發、供應鏈管理和產能等多個方面進行協同，相信經過公司和基龍團隊的努力，可以取得相比基龍公司獨立發展更好的效果，大幅提升本次投資的回報率。
2019年全球存儲箱櫃銷售超過80億美元，且一直持續穩定增長，公司目前已經是美國大型商超存儲箱櫃的ODM供應商，並且致力於打造包括LISTA在內的自有存儲箱櫃品牌體系。通過本次收購基龍公司，公司有信心成為全球最大的存儲箱櫃設計和製造集團，在未來3-5年的時間裏，取得不少於10%的市場份額。
