三達膜(688101.SH)：正在核查嘉戎技術的知識產權、客户資源等可能構成涉及相關當事人違背保密協議、競業禁止協議的情形
格隆匯 4 月 2日丨三達膜(688101.SH)公佈，近日，公司關注到環球網在網絡發佈題為《嘉戎技術實控人就職三達膜期間在外創辦同業競爭公司》的文章，同時也收到了不少與此相關的詰問後立即開展了核查，為了以正視聽，避免對投資者造成誤導，現予以澄清説明。
經公司核實，説明如下：
1、廈門嘉戎技術股份有限公司董事長蔣林煜，副董事長王如順，董事董正軍、蘇國金，副總經理劉德燦、學賢確實曾在公司任職。具體任職情況如下：
2、根據廈門嘉戎技術股份有限公司公開披露的《首次公開發行股票並在創業板上市招股説明書》記載，嘉戎技術設立於2005年2月6日，蔣林煜持有該公司90%的股份，為該公司實際控制人。而在嘉戎技術設立時，蔣林煜仍在公司任職，屬於公司的核心技術人員和高級管理人員。
3、蔣林煜在公司工作多年，先後擔任工程師、技術部經理、銷售部經理、副總經理等職務。鑑於蔣林煜在公司擔任的職務及工作安排，能夠接觸到公司的核心技術、商業機密等大量非公開信息。
4、截止公吿日，公司未對嘉戎技術、蔣林煜及該公司其他原在三達膜公司任職的人員提供任何關於知識產權確權或其他證明嘉戎技術及相關當事人沒有侵害本公司利益的證明文件，如嘉戎技術對外提供的信息(包括但不限於招股説明書、有關底稿、盡調聲明等)中存在上述相關證明文件，均屬於虛假陳述。
5、蔣林煜深度參與了公司與合作單位完成的“膜分離法處理垃圾滲濾液的應用研究”項目。該項目曾榮獲福建省建設廳頒發的“福建省建設系統科技進步二等獎”，而嘉戎技術的招股文件中記載，運用該項技術所創造的銷售收入佔比較高，公司將聘請專業的知識產權法務團隊對此進行深入調查。
6、公司目前正在核查嘉戎技術的知識產權、客户資源等可能構成涉及相關當事人違背《保密協議》、《競業禁止協議》的情形。如核實嘉戎技術及其相關當事人存在上述協議及觸碰侵犯公司知識產權的情形，公司將保留追究其法律責任的權利。
公司將繼續關注上述事態的發展，捍衞全體股東的權益，對侵害公司合法權益的行為追究其法律責任。
