太龍照明(300650.SZ)：職工監事許曉峯之子許懷琛短線交易
格隆匯 4 月 2日丨太龍照明(300650.SZ)公佈，公司職工監事許曉峯之子許懷琛於2020年12月14日至2021年3月29日期間買賣公司股票，導致出現短線交易行為。根據《公司法》《證券法》《深圳證券交易所創業板股票上市規則》等相關規定，現將相關情況公吿如下：
經核查，職工監事許曉峯其子許懷琛買賣公司股票的具體情況如下：
許懷琛上述買賣公司股票的行為違反了《證券法》第四十四條及深圳證券交易所的相關規定，在六個月內買入公司股票又賣出的行為構成短線交易。公司此前已預約2021年4月26日披露《2020年年度報吿》，但經公司核查，許懷琛買賣公司股票的行為雖然發生在公司披露定期報吿的窗口期內，但是不存在許懷琛先生獲悉內幕信息交易公司股票謀求利益的情形。截至公吿披露日，許懷琛共計持有公司股票0股。
公司在核查並知悉此次事件發生後，高度重視，許曉峯及許懷琛積極配合、主動糾正，本次事項的處理情況及補救措施如下：
職工監事許曉峯對於未能及時盡到督促義務深表自責，其子許懷琛已深刻意識到本次違規買賣公司股票存在的問題，許曉峯先生及許懷琛先生特委託公司向廣大投資者致以誠摯的歉意，並向公司董事會表示未來將嚴格遵守法律法規，自覺維護證券市場秩序。同時許懷琛先生其買賣公司股票行為均為其本人對二級市場交易情況的獨立判斷而作出的決定，不存在利用內幕信息進行交易謀求利益的情形。許曉峯先生聲明並不知曉許懷琛先生上述期間的股票交易相關情況，且未吿知其公司經營情況或其他內幕信息。
依據《證券法》第四十四條的規定：“上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益”、“前款所稱董事、監事、高級管理人員、自然人股東持有的股票或者其他具有股權性質的證券，包括其配偶、父母、子女持有的及利用他人賬户持有的股票或者其他具有股權性質的證券”。在短線交易期間，許懷琛先生買賣公司股票獲得收益為1391元，已於2021年4月2日全部上繳公司。
公司將以此為戒，要求所有董事、監事、高級管理人員、持有本公司5%以上股份的股東、相關工作人員再次認真學習、鞏固《證券法》、《深圳證券交易所創業板股票上市規則》、《深圳證券交易所創業板上市公司規範運作指引》和《深圳證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等相關法律法規、規範性文件，嚴格按照相關規定，審慎操作，督促個人和近親屬嚴格規範買賣公司股票的行為，杜絕違規交易情況再次發生。
