滙景控股(09968.HK)擬收購惠州市帝景華廷置業投資51%股權
格隆匯 3 月 31日丨滙景控股(09968.HK)發佈公吿,2021年3月31日,公司間接全資附屬中國控股公司(即東莞市正行置業有限公司)、和幸科技工業(惠州)有限公司作為賣方與目標公司(即惠州市帝景華廷置業投資有限公司)訂立協議,據此,中國控股公司同意收購而賣方同意出售目標公司的51%股權,代價為人民幣8200萬元。
目標公司於2016年11月28日成立,併為位於惠州市的物業開發商,主要從事房地產開發及銷售業務。於本公吿日期及於協議項下擬進行的交易完成前,其為賣方的直接全資附屬公司。目標公司持有位於惠州市的目標項目的土地使用權,該項目的總佔地面積約為5.612萬平方米,及總建築面積約為24萬平方米。目標公司持有惠州世紀華廷的90%股權,於本公吿日期,惠州世紀華廷並無開展任何業務活動,亦無任何其他重大資產。
目標項目位於惠州市陳江街道陳江大道19號,包括住宅單位、零售鋪、酒店、寫字樓及停車場。於本公吿日期,目標項目部分已竣工,而餘下建築工程正在建設中,且物業的預售工作亦正在進行中。目標項目房地產項目餘下部分的開發預計將於2021年內完成。
公吿表示,鑑於位於惠州市的目標項目隸屬粵港澳大灣區且發展勢頭迅猛,董事認為目標公司的收購事項將提升大灣區的地位及市場份額,此與集團的發展策略一致;收購事項將增加集團的土地儲備,令集團可於惠州物色其他潛在機遇;收購事項將令集團將目標公司的財務業績於集團的財務報表綜合入賬,並預期倘目標項目於未來竣工且交付將帶來正面回報及增加集團的溢利。
