安踏體育(02020.HK)擬7200萬元收購一在建廠房
格隆匯 3 月 31日丨安踏體育(02020.HK)公佈，於2020年7月10日，公司全資附屬公司泉州市東禕達輕工發展有限公司作為買方與賣方福建安踏投資訂立合作建設協議，據此，買方及賣方同意出資合共人民幣8800萬元以合作建設及共同擁有該廠房，其中人民幣3520萬元將由買方出資，人民幣5280萬元將由賣方出資。該廠房將建於中國福建省晉江市的兩幅相鄰地塊，地塊一及地塊二之上。買方為地塊一的土地使用權持有人及賣方為地塊二的土地使用權持有人。
預期該廠房的建設將於2021年9月30日前完成，而買方及賣方將分別擁有該廠房40%及60%權益，即彼等根據合作建設協議各自出資的百分比。買方負責建設過程，包括施工圖設計、規劃審批、項目建設、竣工驗收、產權處理及其他相關工作。截至公吿日期，該廠房的建設仍在進行中。
於2021年3月31日，買方與賣方訂立土地使用權及地上建築物轉讓協議，據此，賣方同意出售而買方同意購買目標土地(包括正於其上建設該廠房的地塊二)的土地使用權及賣方於該廠房的全部權益，總對價為人民幣7200萬元。
據悉，目標土地由位於中國福建省晉江市池店鎮東山村的四幅地塊(包括正於其上建設該廠房的地塊二)組成，總面積約為39,964平方米。該廠房正在於地塊一及地塊二(兩幅相鄰地塊，位於／鄰近目標土地)之上建設。買方為地塊一的土地使用權持有人及賣方為地塊二的土地使用權持有人。根據合作建設協議，買方及賣方分別擁有在建的該廠房40%及60%權益。除該廠房(仍在建設中)外，目標土地上並無樓宇或構築物。
公吿稱，根據合作建設協議建設的該廠房將有助提升集團自產鞋類產品的產能，為集團在多品牌策略下發展業務提供助力。鑑於該廠房建於地塊一及地塊二之上，而買方目前擁有地塊一的土地使用權，土地使用權及地上建築物轉讓協議項下所涉之收購事項，將整合該廠房所建在的及未來設施將建在的相鄰地塊之擁有權，集團可全面控制該廠房及目標土地的發展進度以及未來的使用權。
