第一服務控股(02107.HK)擬收購青島洛航企業管理100%股權
格隆匯 3 月 30日丨第一服務控股(02107.HK)公吿，於2021年3月30日，公司間接全資附屬公司第一物業北京(作為買方)、眾賣方、威海上誠、王志蘭、目標公司(青島洛航企業管理有限公司)、上誠物業、青島上誠及聊城上誠訂立股權轉讓協議，據此，買方已同意向賣方收購目標公司的100%股權，總代價為人民幣1.36億元，即目標股權轉讓價人民幣1.13億元與目標公司於2020年12月31日的淨資產的轉讓價格人民幣2240萬元總和。
於完成後，公司將間接持有目標公司100%股權。目標公司將成為公司間接全資附屬公司，而目標公司的財務業績將併入集團財務業績。
目標公司為於2021年3月8日根據中國法律成立的有限責任公司。目標公司為一家投資控股公司。於公吿日期，目標公司由賣方一持有60.0%權益及由賣方二持有40.0%權益。於完成後，目標公司將由買方全資擁有。目標公司將成為公司間接全資附屬公司，而目標公司及其附屬公司的財務業績將併入集團財務業績。
上誠物業為中國領先及知名物業管理服務提供商，具體而言，其為山東威海非住宅物業管理領軍企業，在該地區具有卓越的品牌聲譽。其主要於威海、煙台、青島及山東濟南為市政河流、公園、學校、醫院、公司辦公室、商業銀行、零售商店及工業園區等提供物業管理服務。於2020年12月31日，合計總在管建築面積約為20,000,000平方米，在管項目約100個。
董事相信，上誠物業所擁有卓越的品牌聲譽、於物業管理細分領域的豐富經驗及資源，將與集團於中國的品牌創造強大的協同效應，從而引領集團于山東省的地區擴張。收購事項將有利於集團戰略性擴展非住宅物業管理服務。由於上誠物業業務主要覆蓋山東省沿海城市，將對集團近期收購大連亞航物業管理有限公司產生強大協同效應，增強集團環渤海業務發展。
