*ST雙環(000707.SZ)擬重大資產出售
格隆匯 3 月 30日丨*ST雙環(000707.SZ)公佈，此次交易上市公司擬將標的資產轉讓給應城宜化，應城宜化、宜化集團可以承接上市公司金融債務方式支付對價，並由應城宜化以現金補足差額(如有)。此次擬出售標的資產具體包括：
1、上市公司持有的置業公司100%股權；
2、上市公司持有的蘭花沁裕46.80%股權；
3、上市公司及環益化工持有的合成氨生產裝置的主要設備和上市公司持有的鹽鹼氨肥鈣聯產裝置主要設備；
4、上市公司及環益化工享有的對置業公司及其子公司的債權。
截至預案出具日，標的資產的評估工作尚未完成。以2020年12月31日為評估基準日，此次交易擬出售各標的資產的預估值合計約15.95億元。
經交易各方同意，上市公司已聘請經中國證監會和國務院有關主管部門備案評估機構對標的資產截止評估基準日的價值出具正式的評估報吿，並以評估報吿確定的評估值為參考依據，協商確定最終的交易價格。標的資產的資產評估結果及最終交易作價將在重組報吿書中予以披露。
截至預案出具日，與標的資產有關的審計、評估工作尚未完成，標的資產估值及定價尚未確定。根據標的資產未經審計的財務數據初步判斷，此次交易擬出售資產的資產總額預計占上市公司最近一個會計年度經審計的合併財務會計報吿期末資產總額的比例超過50%，將達到《重組管理辦法》規定的重大資產重組標準，此次交易預計構成重大資產重組。
此次重組前，上市公司主營業務為鹽及鹽化工產品的生產和銷售，此次重組實施對上市公司主營業務的影響包括：
1、上市公司將剝離生產能耗較高的合成氨生產裝置的主要設備和已不符合公司未來發展方向的鹽鹼氨肥鈣聯產裝置主要設備、剝離尚未盈利的參股公司蘭花沁裕股權，減輕上市公司經營負擔；
2、此次交易完成後，上市公司化工主營業務主導產品仍為純鹼和氯化銨，上市公司將剝離房地產子公司置業公司，退出房地產領域，進一步聚焦主業。
此次交易屬於公司盤活資產、降低負債的行為，是公司進一步實施業務優化調整，擺脱經營困境的重要舉措，有利於為公司的穩定健康發展打下良好的基礎。
