哈工智能(000584.SZ)：擬收購江機民科100%股權
格隆匯 3 月 30日丨哈工智能(000584.SZ)公佈，公司於2021年1月17日召開第十一屆董事會第十五次會議，審議通過《關於籌劃重大資產重組暨簽署<資產購買意向協議>的議案》，同意公司與自然人劉延中先生就收購吉林市江機民科實業有限公司(“江機民科”或“標的公司”)97.9626%股權事項明確相關事宜，並簽訂《資產購買意向協議》。此次交易尚處於初步籌劃階段，交易方案仍需進一步協商論證，具體的交易方案及交易條款以各方簽署的正式協議為準。具體詳見公司於2021年1月18日在公司刊登的《關於籌劃重大資產重組暨簽署<資產購買意向協議>的提示性公吿》(公吿編號：臨2021-007)。
公司於2021年3月29日召開第十一屆董事會第二十次會議，審議通過《關於簽署<資產購買意向協議> 的議案》，同意公司與自然人吳宇英就收購江機民科1.4348%股權事項明確相關事宜並簽訂《資產購買意向協議》，同意公司與自然人李博就收購江機民科0.2009%股權事項明確相關事宜並簽訂《資產購買意向協議》，同意公司與自然人丁海英就收購江機民科0.2009%股權事項明確相關事宜並簽訂《資產購買意向協議》，同意公司與自然人杜研就收購江機民科0.2009%股權事項明確相關事宜並簽訂《資產購買意向協議》。
此次交易完成後，公司將持有江機民科100%股權。此次交易尚處於中介機構盡職調查階段，公司與交易對方正在就具體交易事項進一步溝通，具體的交易方案及交易條款以各方簽署的正式協議為準。此次交易不構成關聯交易。
根據初步研究和測算，公司此次收購江機民科100.00%股權事項可能構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
公司就相關交易方案、交易條件和交易方式正在與交易對方進行積極磋商、溝通及論證，因具體方案尚未最終確定，與相關交易方尚未簽署任何正式協議。公司將繼續按照《上市公司重大資產重組管理辦法》及其他有關規定，及時履行相應的審批程序和信息披露義務。
