奧思集團(01161.HK)擬4500萬港元收購一間美容公司
格隆匯 3 月 29日丨奧思集團(01161.HK)公吿，於2021年3月29日，買方Water Oasis Group (BVI) Limited(本公司全資附屬公司)、賣方Billion Profit Investments Limited及擔保人訂立買賣協議，據此，買方同意收購及賣方同意出售目標公司蔓時哲控股有限公司全部已發行股本，基本代價為4500萬港元，須視乎情況及可予調整。
目標集團從事兩項主要業務：(i)於香港提供水療、醫學美容及美容服務("服務業務")；及(ii)於中國、香港及澳門銷售分銷產品("產品業務")。就服務業務而言，目標集團提供(i)傳統美容療程，包括針對身體各個部位的護理，例如面部療程、頸部療程、眼部療程、手部療程及身體療程，以及水療及按摩服務；及(ii)醫學美容服務。目標集團以"FRéDéRIQUE"、"Medici-Laser"及"AesMedic"品牌經營六間水療中心，及以"32°C"品牌經營一間店舖。目標集團獲授權於香港、澳門及中國根據分銷協議出售分銷產品以進行產品業務。分銷產品主要涵蓋皮膚護理、身體護理及頭髮護理。
於香港，目標集團透過美容產品銷售專櫃出售產品。於中國，其於江蘇省蘇州市透過獲授權在線分銷商及自有的在線商店進行銷售，亦透過離線分銷商及自營專櫃進行銷售。
集團主要於香港、澳門及中國從事經營美容中心、水療中心及醫學美容中心以及分銷護膚品。董事會認為，倘若於2019年下半年並無發生社會運動及於2020年並無爆發2019冠狀病毒病，則不會促成按基代價進行收購事項契機。收購事項是擴大活躍客户羣、獲得一批技術熟練的專業人員及增加店舖數量戰略舉措。此外，於集團及目標集團整合業務後，預期收購事項可締造協同效益，例如節省成、營銷和交叉銷售。
董事會認為，目標集團於2019年及2020年上半年財務表現受挫，主要是由於香港的社會運動及其後爆發2019冠狀病毒病不利影響，並非目標集團管理層所造成，亦非屬經常性質。
