据报香港计划年内实现首宗SPAC上市
据彭博引述知情人士指,香港最快年内实现特殊目的收购公司(SPAC)上市,预期於6月份将就修改《上市规则》框架谘询公众意见,目标至年底允许SPAC在港上市。
报道指出,香港考虑为SPAC挂牌发起人及其收购目标,制定比美国更严格的规则,指导原则是保持目前的IPO和反向收购审查制度,并为SPAC发行引入长期框架。
消息又指,财政司司长陈茂波已指示监管机构和交易所提出一个适合香港市场的框架,以参与到SPAC热潮中,但强调如出现未预见的监管担忧,时间表可能仍会改变。此前陈茂波接受访问时表示,港府正认真考虑允许SPAC上市。
SPAC又称空白支票公司(Blank check company),是一间空壳公司透过IPO集资并再并购实业,去年美国SPAC上市宗数超过200宗,涉及集资额近800亿美元。
