創美藥業(02289.HK)：建議選舉第三屆董事會董事、第三屆監事會股東代表監事及獨立監事
格隆匯 3 月 27日丨創美藥業(02289.HK)公佈，第二屆董事會的任期將於2021年5月31日屆滿，在股東周年大會選舉產生第三屆董事會之前，仍繼續履行董事職務。董事會已審議並批准以下第三屆董事會的董事候選人：
(1)執行董事候選人：姚創龍、鄭玉燕與林志雄；
(2)非執行董事候選人：李偉生；及
(3)獨立非執行董事候選人：尹智偉、周濤與關鍵(又名關蘇哲)。
以上董事候選人符合相關中國法律法規及章程規定的董事任職條件，且董事會同意將上述候選人名單提交股東周年大會審議。股東周年大會將選舉產生三名執行董事、一名非執行董事及三名獨立非執行董事，該七名董事將組成第三屆董事會。第三屆董事會董事的任期將為三年。
根據相關中國法律法規及章程的規定，第三屆董事會的董事候選人須由股東於股東周年大會上批准。執行董事、非執行董事及獨立非執行董事候選人的任期將自股東周年大會批准之日起生效，至新一屆董事會成員選舉產生之日止。
第二屆監事會的任期將於2021年5月31日屆滿，在股東周年大會選舉產生第三屆監事會之前，仍繼續履行監事職務。監事會同意提名兩名監事會候選人，包括一名股東代表監事及一名獨立監事，詳情如下。根據章程，職工代表監事不得少於監事會監事的三分之一，並須由公司職工代表通過民主程序於職工代表大會上選舉及罷免。公司將召開職工代表大會選舉一名僱員代表監事。
監事會審議及批准的第三屆監事會股東代表監事及獨立監事的候選人名單如下：
(1)股東代表監事候選人：林志傑；及
(2)獨立監事候選人：張玲。
以上監事候選人符合相關中國法律法規及章程規定的監事任職條件，且監事會同意將上述候選人名單提交股東周年大會審議。
第三屆監事會監事的任期將為三年，且股東代表監事及獨立監事的任期將自股東周年大會批准之日起生效，至新一屆監事會成員選舉產生之日止。
