賽輪輪胎(601058.SH)：瑞元鼎實持股數超過新華聯控股 成為公司第一大股東
格隆匯 3 月 28日丨賽輪輪胎(601058.SH)公佈，2021年3月26日，公司收到袁仲雪及其一致行動人楊德華、袁嵩、杜玉岱、瑞元鼎實投資有限公司(“瑞元鼎實”)、青島煜明投資中心(有限合夥)(“煜明投資”)出具的《賽輪集團股份有限公司詳式權益變動報吿書》，具體情況如下：
此次權益變動包括：(1)經中國證監會《關於核准賽輪集團股份有限公司非公開發行股票的批復》（證監許可[2021]596號）核准，2021年3月，公司非公開發行人民幣普通股(A股)408,971,322股，此次發行新增股份已於2021年3月25日在中國證券登記結算有限責任公司上海分公司辦理完畢登記託管手續。此次非公開發行的股份中，袁仲雪及其控制的企業瑞元鼎實分別認購20,246,105股、388,725,217股。
(2)根據袁仲雪與延萬華於2021年1月8日簽署的《附條件生效的<股份委託管理協議>之解除協議》，袁仲雪與延萬華於公司完成此次非公開發行股票事宜時解除股份委託管理關係，袁仲雪不再受託管理延萬華所持有的106,479,842股股份。
此次權益變動實施完成後，袁仲雪控制的股份情況如下：
綜上，此次權益變動後，袁仲雪將控制公司828,574,510股，控制比例合計為27.04%。此次權益變動後，袁仲雪仍為上市公司的實際控制人。
此次發行前，公司第一大股東為新華聯控股有限公司（以下簡稱“新華聯控股”），其持有公司股份377,431,682股，佔公司發行前股份總數的14.21%，瑞元鼎實持有賽輪輪胎25,100,775股，佔公司發行前股份總數的0.95%。
此次發行後，瑞元鼎實直接持有公司股份413,825,992股，佔公司發行後股份總數的13.51%，新華聯控股直接持有公司股份377,431,682股，佔公司發行後股份總數的12.32%，瑞元鼎實持股數超過新華聯控股，成為公司第一大股東。
