移為通信(300590.SZ)：監事王玉飛的配偶張某短線交易
格隆匯 3 月 25日丨移為通信(300590.SZ)公佈，公司於近日收到公司監事王玉飛出具的《關於本人親屬買賣股票構成短線交易的情況説明》，王玉飛的配偶張某於2020年11月2日至2021年3月23日期間存在買賣公司股票的行為，構成短線交易。根據《證券法》、《深圳證券交易所創業板上市公司規範運作指引》(2020年修訂)等相關法律法規的規定，現就相關情況説明如下：
公司知悉此事後高度重視，及時核查相關情況，王玉飛及其配偶張某亦積極配合、主動糾正。經研究，本次事項的處理情況如下：
1、依據《證券法》第四十四條的規定：上市公司、股票在國務院批准的其他全國性證券交易場所交易的公司持有百分之五以上股份的股東、董事、監事、高級管理人員，將其持有的該公司的股票或者其他具有股權性質的證券在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。前款所稱董事、監事、高級管理人員、自然人股東持有的股票或者其他具有股權性質的證券，包括其配偶、父母、子女持有的及利用他人賬户持有的股票或者其他具有股權性質的證券。
張某本次短線交易產生的收益為：所得收益=構成短線交易股份數量*（賣出均價-買入均價）=36,000*（22.60-25.81）=-115,783.29元。
2、王玉飛在《情況説明》中表示，事先並不知曉張某股票交易的相關情況，且未吿知其公司經營的相關情況或其他內幕信息。張某買賣公司股票的行為，均為其個人操作，不存在從任何其他主體獲得公司非公開信息並利用非公開信息買賣股票，或受任何其他主體建議、指導、明示或暗示買賣公司股票的情況。同時，也是張某不瞭解相關法律、法規的規定所致，不存在利用短線交易謀求利益的目的，不存在主觀違規的情況。
王玉飛對於未能及時盡到督促義務深表自責，張某也已深刻認識到本次違規買賣公司股票存在的問題，並就本次短線交易行為給上市公司和市場帶來的不良影響，向廣大投資者致以誠摯的歉意，並表示未來將嚴格遵守相關法律法規，自覺維護證券市場秩序。
3、公司董事會已再次要求全體董事、監事、高級管理人員及持有公司股份5%以上的股東認真學習《證券法》、《深圳證券交易所創業板股票上市規則》（2020年12月修訂）、《深圳證券交易所創業板上市公司規範運作指引》（2020年修訂）、《上市公司股東、董監高減持股份的若干規定》、《深圳證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》（2017年修訂）、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》等相關法律法規、規範性文件，切實管理好股票賬户，嚴格規範買賣公司股票行為，杜絕此類事件再次發生。
