小米(01810.HK)斥2.05亿美元收购Zimi International余下50.09%股份
小米集团(01810.HK)公布,於3月24日与Zimi International的股东订立买卖协议,将以总代价约2.05亿美元,收购Zimi共50.09%股份,其中约1.76亿美元将以现金偿付,约2,845万美元由小米配发及发行列作缴足867.09万股代价股份偿付。
配发股份相当於经代价股份扩大後已发行股本约0.03%。目前小米集团於Zimi的持股为约49.91%,交易完成後Zimi将成为小米的的全资附属公司。
小米将透过向集团高管张峰旗下的Zifone配发股份收购其在Zimi的6.96%持股。同时,小米董事长雷军旗下的Little Smart於Zimi中持股9.97%,於今次交易中将获支付4,074万美元。
小米表示,Zimi在多项IoT领域上具备优秀的技术研发 能力和出色的行业资源与运营经验,可协同及提升未来生态链产品的竞争力。
