格隆匯 3 月 24日丨集友股份(603429.SH)公佈，公司於2021年3月24日收到公司監事孫志松“關於本人買賣公司股票構成短線交易的情況説明及致歉函”，其於2021年3月24日買入公司股票1200股。
公司監事孫志松自2020年9月25至2021年3月24日，累計賣出公司股票327.037萬股，累計買入公司股票1200股。
孫志松於2021年3月24日買入公司股票1200股，成交價格30.35元/股，成交金額36420元。上述交易行為違反了《證券法》第四十四條及上海證券交易所的相關規定，孫志松在六個月內賣出公司股票又買入的行為構成短線交易。
經公司核查，上述交易行為從時間上看，未發生在公司披露定期報吿的窗口期內，不存在因獲悉內幕信息而交易公司股票的情況。孫志松此次短線交易行為發生後，能夠及時向公司報吿該事項，並非主觀故意違規。
公司董事會向全體董事、監事、高級管理人員對孫志松股票賬户的違規交易行為進行了通報，並要求引以為戒，要進一步認真學習相關法律法規和規範性文件，今後要對交易行為進行嚴格管理，避免此類情況再次發生。
公司已對孫志松進行批評教育，要求其進一步認真學習相關法律法規和規範性文件，並要求其吸取教訓、提高警惕，避免此類情況再次發生。孫志松已深刻認識到本次違規事項的嚴重性，並就本次違規行為向公司及廣大投資者致以誠摯的歉意。孫志松保證，未來將嚴格根據法律法規、中國證監會和上海證券交易所的相關規定進行股票交易並及時履行信息披露義務，避免此類情況再次發生。
依據《證券法》第四十四條的規定，上市公司董事、監事、高級管理人員短線交易產生的收益應收歸公司所有，公司董事會應當收回其所得收益。孫志松本次短線交易收益14400元(按其半年內已賣出本公司股票最高價42.35元與本次買入價30.35元之差，乘以本次買入股數1200股計算)已全部上繳公司董事會。
