格林美(002340.SZ)：下屬公司簽署印尼鎳資源項目增加股權至72%的正式協議
格隆匯 3 月 23日丨格林美(002340.SZ)公佈，2021年3月23日，公司第五屆董事會第二十四次會議審議通過了《關於下屬公司簽署印尼鎳資源項目增加股權至72%之正式協議的議案》。同日，公司全資子公司格林美香港國際物流有限公司(“格林美香港”)與香港邦普、廣東邦普循環科技有限公司(CATL控股公司，“廣東邦普”)及目標公司簽訂了《青美邦新能源材料有限公司股權轉讓協議》(“股權轉讓協議1”)，香港邦普將其持有的目標公司15%股權及相應權利義務一併轉讓給格林美香港，格林美香港同意受讓青美邦15%股權。目標公司的其他股東無異議。
同時，公司及下屬公司荊門格林美與格林美香港同Newstride Limited、新展國際簽訂了《股權轉讓協議》(“股權轉讓協議2”)，Newstride Limited向格林美香港出讓新展國際100%股份以間接出讓青美邦21%股份，格林美香港同意受讓青美邦21%股權。
通過簽署股權轉讓協議1和股權轉讓協議2，公司下屬公司將合計直接和間接持有青美邦公司的股權增加至72%，成為青美邦控股股東。
根據《股票上市規則》、《上市公司重大資產重組管理辦法》、《公司章程》等相關法律法規的規定，本次簽署協議不需要提交股東大會審議批准。此次簽署協議不構成關聯交易，也不構成重大資產重組，無須經有關部門批准。
隨着新能源三元動力電池向高鎳低鈷化的快速發展，掌握鎳資源對未來新能源三元材料戰略競爭至關重要。在未來鎳資源供需關係趨於緊張的情況下，公司搶佔鎳資源先機，進駐印尼鎳資源基地，享受第一批鎳紅利。通過簽訂股權轉讓協議，有助於公司充分抓住印尼鎳資源項目主動權，在全球新能源動力三元電池快速往高鎳低成本方向發展的大趨勢下搶佔鎳資源先機，有利於公司在2020年成功實施業務價值大整理的成就基礎上，全面聚焦發展三元前驅體、四氧化三鈷與動力電池回收為主體的新能源業務，為公司建設全球競爭力地位突出的高鎳前驅體材料製造企業提供戰略鎳資源保障，將促進公司未來在全球新能源材料市場領域的競爭地位提升，對穩定和提升公司電池材料核心業務的盈利能力具有積極的促進作用。
此次股權轉讓完成後，公司下屬公司合計直接和間接持有青美邦的股權將增加至72%，成為青美邦控股股東，青美邦納入公司合併報表範圍，對其核算由權益法轉為成本法。此次股權轉讓不會對公司生產經營及財務狀況產生不利影響，不存在損害公司及全體股東利益的情形。
