跨境通(002640.SZ)：擬20.2億元轉讓帕拓遜網絡100%股權予小米、順為、鼎暉及量子躍動等等
格隆匯 3 月 23日丨跨境通(002640.SZ)公佈，公司擬將其持有的全資子公司深圳前海帕拓遜網絡技術有限公司(“帕拓遜”、“目標公司”、“子公司”)100%股權以20.20億元轉讓至下述受讓方：
深圳帕拓品牌投資合夥企業(有限合夥)(“帕拓投資”)、深圳永帕投資合夥企業(有限合夥)(“永帕投資”)、深圳永遜投資合夥企業(有限合夥)(“永遜投資”)、深圳帕奇合夥企業(有限合夥)(“帕奇投資”)、深圳帕眾投資合夥企業(有限合夥)(“帕眾投資”)、小米科技有限責任公司(“小米”)、ACHIEVER VENTURES III （HONG KONG）LIMITED (“順為”)、廈門一葦以航投資合夥企業(有限合夥)(“一葦以航”)、平潭麥步投資有限責任公司(“麥步投資”)、周敏、寧波梅山保税港區鼎暉孚韜股權投資合夥企業(有限合夥)(“鼎暉孚韜”)、杭州鼎暉永孚股權投資合夥企業(有限合夥)(“鼎暉永孚”，與鼎暉孚韜合稱“鼎暉”)、寧波嘉雋諾融股權投資合夥企業(有限合夥)(“嘉雋諾融”)、廈門少年智管理諮詢合夥企業(有限合夥)(“少年智”)、北京量子躍動科技有限公司(“量子躍動”)、廣州希音國際進出口有限公司(“希音國際”)、廣州黃埔創融股權投資合夥企業(有限合夥)(“黃埔創融”)、揚州藍易臻遜股權投資合夥企業(有限合夥)(“藍易臻遜”)、寧波梅山保税港區淵合投資管理合夥企業(有限合夥)(“淵合投資”)、深圳帕友投資合夥企業(有限合夥)(“帕友投資”)，並擬簽署《深圳前海帕拓遜網絡技術有限公司之股權轉讓及增資協議》。此次交易完成後，公司將不再持有目標公司的股權。
以上帕拓投資、永帕投資、永遜投資、帕奇投資、帕眾投資合稱“管理層受讓方”，以上小米、順為、一葦以航、麥步投資、周敏、鼎暉、嘉雋諾融、少年智、量子躍動、藍易臻遜、希音國際、淵合投資、帕友投資、黃埔創融合稱“新投資方”。此外，鄧少煒、劉永成合稱“創始團隊”、轉讓方與創始團隊、管理層受讓方、每一新投資方、目標公司單稱“一方”，合稱為“各方”。
受讓方之一黃埔創融與公司控股股東廣州開發區新興產業投資基金管理有限公司均為廣州開發區產業基金投資集團有限公司控制的企業，根據《深圳證券交易所股票上市規則》10.1.3條，屬於公司關聯法人，此次交易構成關聯交易。
各受讓方增持的股權比例及對應的交易價款金額如下：
此次交易轉讓定價將按照公開、公允、公正的原則進行，不損害交易各方的利益，本次股權轉讓對公司的正常經營不會產生重大影響，此次交易不會損害公司及股東利益。此次交易預計增加公司2021年度合併報表利潤總額約人民幣7.7億元(該數據未經審計且未考慮所得税影響)。
