跨境通(002640.SZ)：拟20.2亿元转让帕拓逊网络100%股权予小米、顺为、鼎晖及量子跃动等等
格隆汇 3 月 23日丨跨境通(002640.SZ)公布，公司拟将其持有的全资子公司深圳前海帕拓逊网络技术有限公司(“帕拓逊”、“目标公司”、“子公司”)100%股权以20.20亿元转让至下述受让方：
深圳帕拓品牌投资合伙企业(有限合伙)(“帕拓投资”)、深圳永帕投资合伙企业(有限合伙)(“永帕投资”)、深圳永逊投资合伙企业(有限合伙)(“永逊投资”)、深圳帕奇合伙企业(有限合伙)(“帕奇投资”)、深圳帕众投资合伙企业(有限合伙)(“帕众投资”)、小米科技有限责任公司(“小米”)、ACHIEVER VENTURES III （HONG KONG）LIMITED (“顺为”)、厦门一苇以航投资合伙企业(有限合伙)(“一苇以航”)、平潭麦步投资有限责任公司(“麦步投资”)、周敏、宁波梅山保税港区鼎晖孚韬股权投资合伙企业(有限合伙)(“鼎晖孚韬”)、杭州鼎晖永孚股权投资合伙企业(有限合伙)(“鼎晖永孚”，与鼎晖孚韬合称“鼎晖”)、宁波嘉隽诺融股权投资合伙企业(有限合伙)(“嘉隽诺融”)、厦门少年智管理咨询合伙企业(有限合伙)(“少年智”)、北京量子跃动科技有限公司(“量子跃动”)、广州希音国际进出口有限公司(“希音国际”)、广州黄埔创融股权投资合伙企业(有限合伙)(“黄埔创融”)、扬州蓝易臻逊股权投资合伙企业(有限合伙)(“蓝易臻逊”)、宁波梅山保税港区渊合投资管理合伙企业(有限合伙)(“渊合投资”)、深圳帕友投资合伙企业(有限合伙)(“帕友投资”)，并拟签署《深圳前海帕拓逊网络技术有限公司之股权转让及增资协议》。此次交易完成后，公司将不再持有目标公司的股权。
以上帕拓投资、永帕投资、永逊投资、帕奇投资、帕众投资合称“管理层受让方”，以上小米、顺为、一苇以航、麦步投资、周敏、鼎晖、嘉隽诺融、少年智、量子跃动、蓝易臻逊、希音国际、渊合投资、帕友投资、黄埔创融合称“新投资方”。此外，邓少炜、刘永成合称“创始团队”、转让方与创始团队、管理层受让方、每一新投资方、目标公司单称“一方”，合称为“各方”。
受让方之一黄埔创融与公司控股股东广州开发区新兴产业投资基金管理有限公司均为广州开发区产业基金投资集团有限公司控制的企业，根据《深圳证券交易所股票上市规则》10.1.3条，属于公司关联法人，此次交易构成关联交易。
各受让方增持的股权比例及对应的交易价款金额如下：
此次交易转让定价将按照公开、公允、公正的原则进行，不损害交易各方的利益，本次股权转让对公司的正常经营不会产生重大影响，此次交易不会损害公司及股东利益。此次交易预计增加公司2021年度合并报表利润总额约人民币7.7亿元(该数据未经审计且未考虑所得税影响)。
