雲圖控股(002539.SZ)：擬增加經營範圍“複合肥原料進出口”、“智能農業服務”
格隆匯 3 月 21日丨雲圖控股(002539.SZ)公佈，公司第五屆董事會第二十次會議決議，審議通過《關於增加經營範圍並修訂<公司章程>的議案》，為滿足公司業務發展需要，公司擬增加“複合肥原料進出口”、“智能農業服務”的經營範圍。
原經營範圍為：控股公司服務；研發、生產復混肥料、複合肥料、摻混肥料(BB肥)、緩控釋肥料、有機-無機復混肥料、水溶性肥料、微生物肥料、各種作物專用肥料、新型肥料；銷售肥料、土壤調理劑及相關原材料；從事上述產品的進出口業務；網上批發、零售：預包裝食品兼散裝食品；銷售：化肥、化工產品(不含危險品)、農藥(不含危險化學品)、白磷、酒、農機、機械設備、五金交電、電子產品、文體用品、照相器材、計算機軟硬件及輔助設備、化粧品、衞生用品、紡織品、日用品、傢俱、金銀珠寶首飾、蔬菜、花卉、裝飾材料、通訊設備、建築材料、工藝品、鐘錶眼鏡、玩具、不再分裝的種子、汽車及摩托車配件、儀器儀表、衞生潔具、陶瓷製品；批發：摩托車；貨物進出口、技術進出口；攝影服務；倉儲服務(不含危險品)；勞務服務；經濟信息諮詢；計算機網絡技術開發；計算機設備安裝及售後服務；軟件技術開發、諮詢、轉讓及服務；計算機軟件開發與設計。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。

同時為保持《公司章程》的一致性，公司擬相應修訂《公司章程》“第二章第十三條公司經營範圍”，《<公司章程>修訂對照表》。
該議案尚需提交公司2020年年度股東大會審議，並提請股東大會授權公司管理層全權負責辦理經營範圍增加、章程修訂備案等所有手續，並根據有權審批機關的具體審核要求，對上述經營範圍增加及修訂公司章程事項進行調整，最終以有權審批機關核准的經營範圍為準。
