華東電腦(600850.SH)：擬收購雅迅網絡99.76%股份及柏飛電子100%股權 3月22日復牌
格隆匯 3 月 19日丨華東電腦(600850.SH)公佈，公司擬以發行股份及支付現金的方式向包括電科數字、電科投資在內的82名雅迅網絡股東購買其合計持有的雅迅網絡99.76%股份。其中，公司擬以發行股份及支付現金的方式收購電科數字所持的雅迅網絡26.02%股份，擬以發行股份的方式收購電科投資、金龍汽車、火炬集團、中鐵五局、温州禎睿及黃詠青等76名自然人合計持有的雅迅網絡73.74%股份。
公司擬以發行股份的方式向包括電科數字、三十二所、中電國睿、國元基金在內的12名柏飛電子股東購買其合計持有的柏飛電子100%股權。
公司擬以定價方式向電科投資、電科財務非公開發行股份募集配套資金，募集配套資金總額不超過5億元，且不超過此次交易中上市公司以發行股份方式購買資產的交易價格的100%。發行股份數量不超過此次交易前上市公司股本總額的30%。
通過收購雅迅網絡和柏飛電子，可以有利支撐華東電腦形成具有提供“雲-邊-端”一體化數字化整體解決方案的能力，形成“以解決方案為牽引，帶動自有產品發展”的格局，增強上市公司提供行業解決方案的關鍵技術能力，不斷拓寬數字化轉型的廣度，挖掘數字化轉型的深度，帶動自有關鍵軟硬件一體化發展。
雅迅網絡多年來始終致力於為客户提供車聯網產品及解決方案，已廣泛應用於國內商用車廠商及重點行業車輛監管領域。整合後，雅迅網絡將面向汽車行業新四化(智能化、電動化、網聯化、共享化)的趨勢，結合華東電腦在交通運輸行業和乘用車客户市場的優勢，對交通運輸進行“全方位、全方式、全天候”管理，形成“端-網-雲”構建的數字化交通體系，實現交通運輸管理的全流程智能化覆蓋，提升華東電腦在交通運輸行業提供數字化解決方案的綜合能力。
柏飛電子從事嵌入式系統關鍵軟硬件業務，主要產品包括嵌入式計算機、高性能信號處理、高速網絡交換、數據記錄存儲及信息處理模塊等。柏飛電子產品具有高度軟硬一體的產品特性和強實時、高可靠、高安全等產品屬性，可以提升金融科技、工業互聯網領域的強實時計算能力，並在系統關鍵節點上利用國產化技術有效保障信息基礎設施安全，增強華東電腦提供行業數字化解決方案中的關鍵技術能力。
根據上海證券交易所的相關規定，經公司申請，公司股票將於2021年3月22日開市起復牌。
